Book excerpt: Excerpt from Essays in the Earlier History of American Corporations: Numbers I III This group of studies is presented as a modest contribution to the economic and social history of the United States before 1800, especially for the last decade or two of the eighteenth century. All of the four essays treat primarily of the corporation and its legal, social, and economic place in the community. They vary widely, however, in scope. The first sketches lightly the corporations of all sorts colonizing, governing, ecclesiastical, educational, charitable, trading, etc. As they appeared in the British colonies that later became the United States. The third treats intensively of a single manufacturing corporation and chie y of its earlier years, 1791 - 96. The fourth summarizes the outstanding facts regarding the three hundred and odd busi ness corporations chartered in the eighteenth century and partie ularly after i7s3. The second which is printed in this collee tion only after considerable hesitation deals with the career of a big business man who had much to do with several cor potations and near-corporations, and whose activities reveal certain Significant aspects of the milieu in which the business corporation developed. The key feature of the corporation that makes it such an attractive form of human collaboration is its limited liability. This book explores how, by allowing those who form the corporation to limit their downside risk and personal liability to only the amount they invest, there is the opportunity for more risks taken at a lower cost.

Book excerpt: Adam Smith's 'invisible hand' relied on the self-interest of individuals to produce good outcomes. Economists' belief in efficient markets took this idea further by assuming that all individuals are selfish. This belief underpinned financial deregulation, and the theories on incentives and performance which supported it. However, although Adam Smith argued that although individuals may be self-interested, he argued that they also have other-regarding motivations, including a desire for the approbation of others. This book argues that the trust-intensive nature of financial services makes it essential to cultivate such other-regarding motivations, and it provides proposals on how this might be done. Trustworthiness in the financial services industry was eroded by deregulation and by the changes to industry structure which followed. Incentive structures encouraged managers to disguise risky products as yielding high returns, and regulation failed to curb this risk-taking, rent-seeking behaviour. The book makes a number of proposals for reforms of governance, and of legal and regulatory arrangements, to address these issues. The proposals seek to harness values and norms that would reinforce 'other-regarding' behaviour, so that the firms and individuals in the financial services act in a more trustworthy manner. Four requirements are identified which together might secure more strongly trustworthy behaviour: the definition of obligations, the identification of responsibilities, the creation of mechanisms which encourage trustworthiness, and the holding to account of those involved in an appropriate manner. Financial reforms at present lack sufficient focus on these requirements, and the book proposes a range of further actions for specific parts of the financial industry.

Available in PDF, EPUB and Kindle. Book excerpt: Ever since Adolph Berle and Gardiner Means wrote their classic 1932 analysis of the American corporation, The Modern Corporation and Private Property, social scientists have been intrigued and challenged by the evolution of this crucial part of American social and economic life. Here William Roy conducts a historical inquiry into the rise of the large publicly traded American corporation. Departing from the received wisdom, which sees the big, vertically integrated corporation as the result of technological development and market growth that required greater efficiency in larger scale firms, Roy focuses on political, social, and institutional processes governed by the dynamics of power. The author shows how the corporation started as a quasi-public device used by governments to create and administer public services like turnpikes and canals and then how it germinated within a system of stock markets, brokerage houses, and investment banks into a mechanism for the organization of railroads. Finally, and most particularly, he analyzes its flowering into the realm of manufacturing, when at the turn of this century, many of the same giants that still dominate the American economic landscape were created. Thus, the corporation altered manufacturing entities so that they were each owned by many people instead of by single individuals as had previously been the case.

Book excerpt: Considered one of the founders of modern sociology, German sociologist and historian MAX WEBER (1864-1920) long studied the impact of religion on culture-is most famous work is 1905's The Protestant Ethic and the Spirit of Capitalism-but he was also renowned as a thinker on economic issues. Here, in this classic collection of lectures first published in English in 1927 and translated by American economist Frank Hyneman Knight (1885-1972), Weber brings his keen and lively sociological eye to the history of commerce, money, and industrial endeavor, discussing: . agricultural organization and the problem of agrarian communism . the house community and the clan . the evolution of the family as conditioned by economic factors . the condition of the peasants before the entrance of capitalism . capitalistic development of the manor . stages in the development of industry and mining . the origin of the European guilds . the factory and its forerunners . forms of organization of transportation and commerce . money and monetary history . the meaning of modern capitalism . the first great speculative crisis . citizenship as an economic concept . the evolution of the capitalistic spirit . and much more.
