This is particularly true in the extractive sector, which is associated with extensive social, economic and environmental impacts. The OECD has prepared a Due Diligence Guidance for Meaningful Stakeholder Engagement in the Extractive Sector intended to provide practical guidance to mining, oil and gas enterprises in addressing the challenges related to stakeholder engagement. This guide is part of the work the OECD undertakes to create practical sectoral applications for the recommendations found in the OECD Guidelines for Multinational Enterprises. Book excerpt: The effects of climate change on the one hand, and government promises to achieve sustainable development on the other, are only two examples of the factors driving businesses to incorporate sustainability into their business strategies. International organizations and researchers alike contend that incorporating sustainability into business is only feasible when governance also considers environmental, social and governance (ESG) issues. Therefore, corporate governance is attracting more and more attention from investors and various stakeholders. On 23 February 2022, the European Commission adopted a proposal for a Directive on corporate sustainability due diligence. The aim of this Directive is to foster sustainable and responsible corporate behaviour and to anchor human rights and environmental considerations in companies' operations and corporate governance. Drawing on the theoretical framework of corporate governance and an analysis of the latest and most important literature on corporate governance and sustainability, this book offers essential insights, particularly in light of the Sustainable Corporate Governance Directive and Due Diligence Directive.

Book excerpt: The first book in the Due Diligence Collection examines the role and duties imposed on officers pursuant to the new Model Work Health and Safety laws, the majority of which commenced on 1st January 2012. Work health and safety laws impose a proactive duty on officers to exercise due diligence to ensure compliance with those laws. Due diligence is a duty imposed on officers personally. It is separate from the duty imposed on their company. The duty is also proactive - it can be breached merely for failing to put in place a corporate governance regime, even though there may not have been a WHS incident at the officer's company. Written by OHS legal expert Michael Tooma, the second edition of Due Diligence: Duty of Officers is an officer's answer to any of their duty questions.KEY FEATURESChapter 1 provides an overview of the duty.Chapter 2 explores the question of "who is an officer".Chapters 3-8 deal with each element of the due diligence definition.Chapter 9 deals with the liabilities arising from breaches of the due diligence duty and explores practical recommendations for compliance by categories of officers such as directors, company secretaries, chief financial officers, human resources directors, general counsel and operations management.Oxford University Press Australia & New Zealand is the non-exclusive distributor of this title.

Book excerpt: This insightful book focuses upon corporate governance processes, and explores the conditions required for effective corporate governance and control in 21st century globalized and financialized economies. In presenting a comprehensive study of a cross-border hostile corporate take-over process, describing the actors, institutions and events involved, this book examines and questions the current forms of corporate governance and control both from a national and a global perspective. Using Old Mutual s takeover of Skandia as a case study, the authors address corporate governance theory, and highlight its two fundamental dimensions: financial and operational flows. An important conclusion of the book is that the motives and theories of contemporary financial markets appear to have gained in importance at the expense of the corresponding operational considerations, something that has dramatically changed the rationales of different types of actors. The book critically questions these transformations, calling for the reconsideration and redesign of regulating institutions and corporate governance processes. This critical investigation of the competition for corporate control in the era of modern financial capitalism will prove a fascinating read for students, academics and researchers in the fields of corporate governance, finance and international business. It will also appeal to policymakers and practitioners within the realms of corporate finance, banking and the wider financial services industry.

Book excerpt: How can you be sure you are buying the company you think you are? Are you sure it is as good as the seller says? How can you be certain unexpected costs and obligations will not suddenly appear once you are the owner and responsible for them? How best can you arm yourself for the negotiations? Have you worked out precisely what you are going to do with it once it is yours? How do you set the priorities for change to recoup the premium you have paid for it? The answer to all these questions, and many more, lies with effective due diligence. Due diligence is one of the most important but least well understood aspects of the acquisition process. It is not, as many believe, a chore to be left to the accountants and lawyers. To get the best from it, due diligence has to be properly planned and professionally managed. This book is a comprehensive manual on getting due diligence right. It is a uniquely comprehensive guide, covering all aspects of the process from financial, legal and commercial due diligence right through to environmental and intellectual property due diligence. There are also useful chapters on working with advisers and managing due diligence projects. It also includes a number of checklists to help ensure that the right questions are asked.

Available in PDF, EPUB and Kindle. Book excerpt: Seminar paper from the year 2006 in the subject Business economics - Business Management, Corporate Governance, grade: 1,0, BVL Campus gGmbH, 26 entries in the bibliography, language: English, abstract: This term paper focuses on the idea and structure of the due diligence process and its applicability during company merger & acquisition (M&A) activities. Unfortunately 40% - 85% of company M&A still do not live up to the acquirers' expectations or even fail completely due to information asymmetries. The analytical approach of the due diligence process represents a way to overcome gaps in company analysis and evaluations. Initial point of this paper is a description of the basics in the process of company M&A and the main reasons for their failure. The due diligence is an approach to apply best practices out of the financial market routine in order to overcome these critical problems. In this light the different operational steps of the due diligence process as well as its most commonly functional applications and their specific attributes are examined. It is shown that information is the paramount groundwork for a representative company assessment. Due to reoccurring analysis failures during contemporary M&A activities the due diligence concept is a useful approach to avoid imprecise handling of information.
