Available in PDF, EPUB and Kindle. Book excerpt: Divestiture objectives, constraints and approaches differ widely from country to country and enterprise to enterprise. This paper presents a general approach for the development of a legal framework for divestiture of state-owned enterprises in the industrial and services sectors. It does not discuss divestiture of housing, land or agricultural enterprises. It is in no way exhaustive, nor does it purport to capture all the nuances of specific divestiture. On most of the topics covered, specific legal literature exists to which the reader should refer for further information. Macro-legal aspects of divestiture are emphasized, while legal issues arising at the transaction level (the micro-legal aspects of divestiture) will only be addressed incidentally. Non-legal aspects of divestiture are mentioned only to the extent needed for the purpose of the paper. The focus is thus on the development of an overall legal framework conductive to divestiture. The main purpose of this paper is to increase the legal awareness of officials involved in divestiture programs by providing an overview of the range, complexity and potential significance of legal issues that may be encountered.

Book Synopsis In the Public Interest? by : Brendan Martin
Download or read book In the Public Interest? written by Brendan Martin and published by . This book was released on 1993 with total page 238 pages. Available in PDF, EPUB and Kindle. Book excerpt: State provision of public services and government management of the economy have been under relentless assault since the early 1980s. As this book shows in fascinating detail, privatization, commercialization and deregulation have become the watchwords of public sector reform worldwide. Brendan Martin charts this global phenomenon and its effects both on those working in the public sectors and on people dependent on public provision. Privatization and structural adjustment are not delivering better public services or improved economic prospects in the North or the South. What is needed, the author argues, is a new approach which transcends the outdated dichotomy of private versus public.
Book Synopsis Disinvestment in India by : Sudhir Naib
Download or read book Disinvestment in India written by Sudhir Naib and published by SAGE Publications India. This book was released on 2004-03-20 with total page 479 pages. Available in PDF, EPUB and Kindle. Book excerpt: In India the path chosen to reform the public sector has been to first deregulate and liberalise the economy and then to privatise public sector enterprises. Debates have raged on since then on: whether reform of state-owned enterprises is necessary; the choice of strategy and method; and the social and economic consequences of such policies. Sudhir Naib has incisively analysed, from a theoretically informed perspective, crucial aspects of this topical issue. Among the important aspects he discusses are:/-//-/- whether the failure of Indian public enterprises has been exaggerated./-/- can public enterprises be reformed from within or are they intrinsically inefficient?/-/- is a change in ownership the only solution? /-/- impact of ownership and competition on the efficiency of Indian enterprises. /-/- methods of privatisation and the experience of other countries. /-/- impact of divestiture on performance of disinvested enterprises. /-//-/Dr Naib provides a firm-level analysis through case studies of seven partly disinvested enterprises (SAIL, BHEL, IOC, ITI, BEL, BEML, NFL). Impact of post-reform policies on enterprises is analysed in terms of changes in market share, cost structure, profitability and work culture. The strategic response of these enterprises is examined in terms of cost reduction measures, change in product portfolio, restructuring, innovation and institutional arrangement for diagnosing environmental changes.

Book Synopsis Public Enterprise Reform by : Mary M. Shirley
Download or read book Public Enterprise Reform written by Mary M. Shirley and published by . This book was released on 1991 with total page 116 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book tries to systematize the lessons learned in the past two decades of public enterprise reform to correct the perceived deficiencies of state-enterprise sectors in Africa, Asia, and Latin America. It addresses the macroeconomic adjustments typically required in the effort to fashion a more open and competitive economy - liberalizing trade and ending preferential treatment for state enterprises; shifts toward market-oriented financing in the banking system; moves toward market pricing and reforming the institutional structure for setting tariffs; and establishing more competitive and evenhanded compensation and staffing policies in state enterprises. It argues that with macroeconomic reforms under way, government needs to ground its reform of state enterprises in an assessment of the purposes to be served by its state-owned sector. It describes how reforming the relationship between government and its enterprises entails striking a delicate balance between autonomy and accountability. The report examines the mechanisms used by governments in a variety of developing countries to set goals for state-owned firms and to evaluate their performance. It addresses the promise and the risks of privatization, whether through outright sales, management contracting, leasing, franchising, contracting-out, or encouraging new entrants into the private sector. It also offers an overview of the task facing governments with a failing public enterprise sector.
Book Synopsis Public Enterprise at the Crossroads by : John Heath
Download or read book Public Enterprise at the Crossroads written by John Heath and published by Routledge. This book was released on 2013-01-11 with total page 285 pages. Available in PDF, EPUB and Kindle. Book excerpt: In many parts of the world public enterprise is in crisis. Privatisation programmes are being widely touted as the solution to many of the problems of inefficiency and slow rates of growth associated with public enterprise. This book discusses the underlying causes of those problems, and critically examines some of the solutions that have been adopted. Its geographical coverage is wide and it cuts across the political spectrum. The experiences of countries in four continents are analysed in an attempt to shed light on current dilemmas. Recurrent patterns are found; problems are frequently seen to be political as much as economic, and bureaucracy and administrative confusion is often found to be at the heart of poor financial performance.Yet since political aims, economic environment, and administrative and managerial capabilities vary so widely, universal solutions remain more difficult to define than universal problems.

Available in PDF, EPUB and Kindle. Book excerpt: IFC Discussion Paper No. 22. Corporate finance in emerging market countries is changing dramatically as the recent liberalizations revitalize stagnant domestic capital markets and permit increased access to overseas markets. With this trend evident in many countries, corporations are re- examining their financial structures and finding more financial instruments to choose from. This paper discusses these new developments and examines the traditional features of emerging-market corporate finance. It presents a simple framework for the debt-equity choice based on considerations of cost, risk, control, and disclosure. The impact of these considerations on government control is also illustrated with examples from several emerging market countries.
Book Synopsis Privatization of Public Enterprises : Trends and Issues by : Dr. Mohd. Aijaz
Download or read book Privatization of Public Enterprises : Trends and Issues written by Dr. Mohd. Aijaz and published by K.K. Publications. This book was released on 2022-01-09 with total page 102 pages. Available in PDF, EPUB and Kindle. Book excerpt: Privatization of Public Enterprises: Trends and Issues This book presents a critical assessment of India's disinvestment exercise initiated as part of the larger economic reforms in 1991. The macro-economic crisis of the 1980s exposed the excessive expansion of Public Sector Enterprises (PSEs) which manifested a number of weaknesses in their performance. This domestic crisis was converted into an opportunity when a massive programme of disinvestment of PSEs was launched in a phased manner. A number of PSEs were privatized through the sale of equity to the public. The purpose of the reform was to limit their size and redefine their role to enhance productivity and efficiency. This study intends to review the functioning of the disinvestment drive on empirical grounds. To be precise, it examines to what extent the disinvestment of PSEs is successful on the parameter of financial efficiency, modernization, employment generation, regional imbalance, utilization of proceeds, and methods of privatization. The book provides insight for researchers and policymakers working on this current subject.
