During the last decade, Brazil has achieved substantial progress in capital market development. The menu of available financial instruments has been expanded, market infrastructure has been reformed and strengthened, and a diversified investor base has been built. Nonetheless, Brazil’s capital markets are still facing a number of challenges including prevalent short-term indexation, investors’ risk aversion to long-term fixed rate bonds, still low liquidity in the secondary market, and managing the role of BNDES. A shift to a lower yield curve environment should continue to gradually take place. But further progress will require continued policy effort to assure macro stability and financial sector reforms to promote the development of longer-term private finance.

Assim, o objetivo deste estudo foi o de conhecer as principais razões do nãodesenvolvimento das participações privadas no mercado nacional. Pesquisasbibliográficas e de campo, apontaram cinco principiais fatores que dificultaram odesenvolvimento deste tipo de investimento no país nos últimos 15 anos. Forameles: (a) a dificuldade que o investidor encontra para sair de investimentos, principalmente devido a um mercado de capitais pequeno, poucos compradoresestratégicos e dificuldade para abertura de capital; (b) a elevada taxa de juros, que aumenta o custo de oportunidade e restringe o fomento de capital para osetor produtivo; (c) a instabilidade política e a econômica, que colocam emdúvida o destino do país e afastam investimentos de longo prazo e alto risco; (d)a ineficiência do poder judiciário, inapta para avaliar rapidamente disputas e afalta de instrumentos alternativos para fazer avaliações e tomar decisões; (e) ainformalidade da cadeia produtiva, que cria ambientes onde os concorrentes nãopagam impostos gerando desvantagens competitivas. Apesar destes problemasa perspectiva para investimentos das participações privadas no país é boa, porém, condicionada à manutenção da estabilidade econômica, crescimentoeconômico, alternativas para saída de investimentos, modernização do poderjudiciário e melhoria da legislação vigente.

Reinventing State Capitalism analyzes the rise of new species of state capitalism in which governments interact with private investors either as majority or minority shareholders in publicly-traded corporations or as financial backers of purely private firms (the so-called “national champions”). Focusing on a detailed quantitative assessment of Brazil’s economic performance from 1976 to 2009, Aldo Musacchio and Sergio Lazzarini examine how these models of state capitalism influence corporate investment and performance. According to one model, the state acts as a majority investor, granting the state-owned enterprise (SOE) financial autonomy and allowing professional management. This form, the authors argue, has reduced many agency problems commonly faced by state ownership. According to another hybrid model, the state uses sovereign wealth funds, holding companies, and development banks to acquire a small share of equity ownership in a corporation, thereby potentially alleviating capital constraints and leveraging latent capabilities. Both models have benefits and costs. Yet neither model has entirely eliminated the temptation of governments to intervene in the operation of natural resource industries and other large strategic enterprises. Nevertheless, the longstanding debate over whether private ownership is superior or inferior to state capitalism has become irrelevant, Musacchio and Lazzarini conclude. Private ownership is now mingled with state capital on a global scale.

However, it also contained the seeds of its future limitations. This banking system did not equalize conditions across sectors or regions as existing theory and historiography anticipated. Deeply embedded institutional constraints limited banking's contribution to long-term development. The three most important institutional constraints were insecure property rights, continual tension between the system's public and private sector functions, and competition between the Federal State and the states. Nevertheless, the banking system was an effective tool in the consolidation of an economy of national scope during these crucial years. As a modern banking system emerged, its use in national consolidation both magnified and reflected its limitations.
