Available in PDF, EPUB and Kindle. Book excerpt: The book is about corporate governance in India in the context of recent mega-corporate frauds and corruption. It strives to discover appropriate governance rules to ensure the sustainability and effectiveness of the institution of corporate bodies, private and public, in India in the context of two mega corruption scandals of 2009, namely, Satyam and Specturam. The author argues that corruption mis-allocates scarce resources from the meritorious to the unworthy, the immoral, the criminal and the powerful. Thus, the author points out, such transactions result in undermining people's trust in the political system and hence causes a decline in the legitimacy of public office. Dr. Swamy refers to the law of Diminishing Interest of the public in opposing corruption when there is no accountability or if the corrupt are not brought to book. Worse, the author states, this consequent apathy towards mega corruption could vitiate the democratic system of India. Hence, the author argues, it is very important for alert citizens to understand the phenomenon of corruption and then bond together to combat it.

Book excerpt: About the book ETHICS IN GOVERNANCE Amidst modern complexities and riddles, executives and organizational heads face immense ethical dilemmas in their decision-making. Circumstantial adversaries pose unique challenges and threats to their conscience and leadership abilities. This book tends to address such dilemmas, threats and challenges in a rather systematic and elucidate manner. It attempts to construct perspectives that may find practical solutions to governance rigor and internal moral conflicts. This is a book full of people, almost too many of them who took part in a national seminar on 'Ethical dimensions of governance' organized at India International Centre: executives, politicians, jurists, media people, medical practitioners, academicians, and organizational heads. Those who were philosophically as well as emotionally interested in the inter-faith debate and who believed in trying to create a synthesis of different belief systems on governance. So there is a kind of internal moral dialogue and deliberations that are captured by the authors. There are countless anecdotes, some humorous and some poignant, and they are fascinating also because such people have never been so exuberant in the public eye anyway. Individuals who are responsible for good governance and deep-down care ethical practices and human values would get enough impetus reading this book. It is also meant to benefit those who want to understand the realities of governance and based up on that want to frame their own philosophy of work and life. This book would further be useful to students and professionals who would like to learn the pitfalls of governance and there-upon set benchmarks for their future endeavors. Nevertheless, if you are unhappy allowing your trinity (intellect, soul and heart) to do the talking in the context of governance then this text cannot be recommended. Governance:- Public Policy • Corporate Sector • Public Sector • Health Care • Banking Industry • Environment Sector • Leadership challenging corruption • Tasks and Solutions for the Future.

Download or read book Corporate Governance in India's Infrastructure Sector written by Umakanth Varottil and published by . This book was released on 2012 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: This article seeks to examine the specific issues and concerns pertaining to corporate governance in the infrastructure sector more generally, and in India in particular. It identifies three key relationships and issues therein. First, corporate governance framework defines the manner in which managers of infrastructure companies can be incentivised to demonstrate optimal performance so as to benefit shareholders and lenders. Second, the infrastructure sector in India is vulnerable to the ill-effects of related party transactions that put external or minority shareholders at a disadvantage compared to the insider shareholders or promoters, and this requires the imposition of checks and balances that monitor the impact of related party transactions to ensure fairness on all shareholder constituencies. Third, appropriate corporate governance mechanisms will minimise the adverse impact of infrastructure activity on stakeholders outside the industry, and also act as a driving force in the fight against corruption and in otherwise advancing public interest.

Book Synopsis Corruption and Human Rights in India by : C. Raj Kumar
Download or read book Corruption and Human Rights in India written by C. Raj Kumar and published by Oxford University Press. This book was released on 2011-08-12 with total page 194 pages. Available in PDF, EPUB and Kindle. Book excerpt: The malaise of corruption has become deeply embedded in the political and social fabric of the Indian society. The increased frequency and scale of corruption have had deleterious effects on a wide range of issues. Corruption, therefore, must be viewed not just as an issue of law and order or of the criminal justice system; instead it has larger and adverse implications for development initiatives, transparency in administration, economic growth, access to justice, and human rights. This important and timely work adopts a new approach for analysing corruption—corruption as a violation of human rights. Highlighting the inherent deficiencies in the existing institutions, mechanisms, laws, and law enforcement agencies, the book strongly proposes the adoption of a multi-pronged strategy for eliminating corruption. This includes the creation of a new legislative framework, an effective institutional mechanism, a new independent and empowered commission against corruption, and greater participation of the civil society. It also compares India's experiences of combating corruption with many societies in Asia including Singapore and Hong Kong.

While there isn’t a universally agreed upon definition of corruption in social sciences, it generally refers to efforts to secure wealth or power through misusing public power for private gain. This kind of destructive leadership is typically treated as an anomaly, but this book closes the gap in our understanding by highlighting the wider consequences of this behavior within business, and on an international level. Armed with this understanding, one also learns how to mitigate its causes and consequences. Edited by leading experts, the book includes contributions from scholars with international expertise on leadership, strategy, political science, finance, organizational change, and public policy. It is the first book to focus on corruption on the country level and within business, and students in international business, management, ethics, and leadership classes will find it a valuable read.
Book Synopsis Corporate Governance by : Vasudha Joshi
Download or read book Corporate Governance written by Vasudha Joshi and published by Foundation Books. This book was released on 2004 with total page 188 pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate governance is part of an economy's system which has today become the most important mechanism for resource allocation. It is affected by capital market, block holders, institutional investors, proxy wars, company law and capital market regulations, and many other macro-economic as well as political factors. Historical evolution of corporate governance naturally has a bearing on current developments. This book is an attempt to weave these factors together coherently. Much of the concerned literature revolves around the agency problem, while in developing countries expropriation of small shareholders is the governance problem. However, shareholder activism is not likely to resolve the issue. Many more measures, from audit committees of the board, rigorous disclosures, exercise of voting rights by institutional investors, strict monitoring by capital market regulator to takeover bids are required to ensure corporate accountability.

Download or read book Independent, Not Free written by Arindam Banik and published by . This book was released on 2014 with total page pages. Available in PDF, EPUB and Kindle. Book excerpt: The aim of corporate governance as often understood is to ensure that companies that are not managed by their owners are run in the best interest of the shareholder. Based on various studies it appears that good corporate governance plays a vital role in underpinning the integrity and efficiency of financial markets. It appears that the relative ineffectiveness of independent directors is not limited to only China and India. More interestingly, there is no conclusive evidence that independence contributes to the performance of the firm. We conclude that the investors need to be aware that stricter securities laws may not be enough for firms to enhance their governance standards. This isn't going to help their confidence unless countries improve their policies towards businesses by respecting property rights, fighting corruption, and reducing crime.

Available in PDF, EPUB and Kindle. Book excerpt: This well-presented collection with contributions from academics and administrators reflects the growing concern towards the present-day practice of governance. It focuses on the need for Governance for Sustainable Human Development to manage the country's social as well as economic resources leading to better development-founded on four pillars of Accountability, Transparency, Predictability, and Participation. It thus calls for unfolding various issues and devising suitable strategies towards humane governance through appropriate political, bureaucratic, economic, and legal reforms. Highlighting its theme in the initial chapters in the New Public Management perspective, the book goes on to unravel the major administrative loopholes in Indian administration, such as lack of transparency and accountability, and the stranglehold of corruption, all of which lead to human deprivation. Later chapters give a synoptic overview of administrative reforms so far undertaken in India, and emphasize the effectiveness of governance in establishing appropriate balance in relative roles of public, private and civil society organizations, rights and responsibilities of politicians, bureaucrats and community, and economic and social justice. The book closes on a positive note strongly reiterating administrative re-engineering to meet the challenges of the twenty-first century for ensuring a holistic development of the country. Recent and real life happenings infused in the text to substantiate arguments, make it an interesting reading. The book will be of immense use to the students and teachers of public administration, social science, political science, and those who practise public administration. It will also be useful to a large number of government departments-both at the union and the state levels.
