Book excerpt: The governance of companies is of importance to developing countries due to the link between effective corporate governance and economic development. Ownership and control of public companies, except in the US and UK, is often in the hands of a few individuals, families or corporate groups and impact on corporate governance and economic development.Using Sri Lanka as an illustrative example, Corporate Ownership and Control sets out the implications of corporate ownership and control structures on the governance of companies, and suggests a reform agenda to meet the challenges posed by such structures. Any analysis into the reform of corporate governance in developing countries should begin with a focus on the local market structures that define its adaptation and effectiveness. The issues explored in the book provide an insight into ownership and control structures in Sri Lanka, the costs and benefits of such structures, and the necessary reform framework to promote effective corporate governance. The analysis can be used to both understand the impact of ownership structures on corporate governance, and suggest how corporate governance issues arising from such structures should be resolved in order to promote economic development and growth.

Book excerpt: This paper investigates the relationship between corporate ownership, corporate governance and corporate performance in Asia such as China, India, Singapore, Pakistan, Malaysia and Sri Lanka. In addition, this study examines whether there is an impact of ownership structure and ownership concentration levels on firm's performance. This study considers board size, shareholder's independence and age of the corporation are used as corporate governance measures. Firm performance is measured by the return on assets (ROA) and return on equity (ROE) for the period 2016. Our finding suggests that corporate governance measures have significant positive relationships with ROA. We find that higher ownership concentration levels are positively related with corporate performance. Finally, we conclude that an increase in the quality of corporate governance may enhance corporate performance. The policy makers can improve the governance mechanism of the firms, which in turn enhance the performance of the firms.

Book excerpt: The purpose of the study is to find out the significant mean difference in the capital structure among the corporate governance practices, and secondary objective of the study is to suggest the listed Manufacturing companies in the Sri Lankan context to adopt corporate governance practices towards the capital structure. In this view, Twenty eight manufacturing companies listed on Colombo Stock Exchange in Sri Lanka were selected as sample size for the periods, 2009, 2010 and 2011. The one-way Anova (f-test) and independent sample t-test were used to find out the out the significant difference in capital structure among corporate governance practices. Findings revealed that, Corporate Governance Practices contributes significantly to Capital Structure. Board Committee in the Corporate Governance Practices contributes significantly to Capital Structure. And also Capital Structure is not contributed significantly by Board composition, Board Size, Board Meeting, and Leadership Structure in Corporate Governance Practices. Meantime, there is no significant difference in the capital structure in terms of leverage among corporate governance practices of the listed manufacturing companies in Sri Lanka. Due to that, further study should focus on the determinants of capital structure in the listed manufacturing companies to take cues in the financial leverage of the particular companies. Further, suggestion was made that corporate governance rules should be strictly mandated by the Securities and Exchange Commission of Sri Lanka. In addition, political, economic, technological and social & cultural aspects of the Sri Lanka should be considered in the policy framework of the corporate governance.

Book excerpt: The importance of corporate governance became very clear as a result of many corporate scandals, failures, frauds, bankruptcies and disasters took place around the world in recent times. It is generally believed that a lack of sound corporate governance practices was one of the major reasons for these economic crises led to ruin shareholders wealth, loss of thousands of jobs, criminal investigation against executives, and a lot of bankruptcy filings in the United States of America, the United Kingdom, Japan, East Asian countries and all other parts of the world including large corporate failures in Sri Lanka. These issues have raised concerns about the reform of corporate governance practices throughout the world and have recently received much attention from policy-makers, regulators and the public. Considering the role of corporate governance practices through the lens of agency theory of Jensen & Meckling, this paper contributes to the existing knowledge in the field of corporate governance by exploring the relationship between corporate governance practices and corporate financial performance in terms of Return on Assets (ROA) and Return on Equity (ROE) specially paying attention on developing an index for measuring the degree of compliance with corporate governance practices. The study was conducted as a quantitative study based on secondary data collected from annual reports of fifty two public listed companies in Sri Lanka for the period 2009-2013. The unit of analysis of the study was a firm-year. Panel data regression analysis was used to test the hypothesis. The analysis indicates that compliance with corporate governance practices have a significant positive relationship with corporate financial performance in terms profitability of public listed companies in Sri Lanka.

Book excerpt: In this Element the origins of corporate governance are reviewed, recognising that corporate entities have always been governed, that important developments took place in the seventeenth and eighteenth centuries, and the huge significance of the invention of the joint-stock limited liability company. The development of corporate governance in the twentieth century around the world is explored, with complex groups, private companies, and top management dominating shareholder power appearing in the Inter-war years. Some unresolved issues in both principle and practice are identified. Various theories of corporate governance are described and contrasted. The subject is seen to be in search of its paradigm and a systems theoretical relationship between the theories is suggested. The need to rethink the concept of the limited liability company is argued, and a call is made for the development of a philosophy of corporate governance.

The analysed Board attributes include size; gender ratio; fraction of non-independent members; and experience. The level of economic development considered to have a potential confounding effect on the outcomes. The analysis of the data suggest that: Boards in Australia are much larger than Boards in Sri Lanka; Boards are male dominated in both nations; and while Board structure provides predictive insight into firm performance, only a few individual attributes are significant. Important finding of this research is that the larger Boards of Australia have a significantly stronger influence on firm performance than the relatively smaller Boards of Sri Lanka. Future research should extend the review of the effects of Board size on corporate performance.
