Typically, in public corporations directors are elected by shareholders to manage the affairs of the corporate on their behalf; which by implications imposes on the directors fiduciary responsibilities. A person with fiduciary duty is a person entrusted with the power or property with the understanding that the person is working for the benefit of the individual(s) who may have entrusted them with such responsibilities – therefore directors have fiduciary responsibilities to work in the best interest of shareholders and for the benefit of shareholders not in the interest of some other people or their individual interest. From all indications, the current global financial crises have revealed severe shortcoming in corporate governance across the global, there seems to be a common factor, an apparent lack of checks and balances needed by companies in order to cultivate sound business ethics bringing about the concern for improved corporate governance across all continents, this provides the needed motivation for this study. In Nigeria; for instance several public companies including local subsidiaries of western multinational companies have been criticized for various degrees of unethical practices. The case of Cadbury Nigeria PLC referred to as ‘Deliberate breaches of accounting system and controls’, are only a tip of the ice berg in Nigeria, a country that has for many years been sapped by widespread corruption. The choice of Cadbury Nigeria Plc for this study is because of their strategic importance as industrial giant in Nigeria that are presumed to be well established and respected for decades. It is expected that this study will contribute to knowledge on corporate governance as well as proffer some solution to the shortcomings and challenges of corporate governance issues with reference to Nigeria.

In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

It has compelled many financial and non-financial regulators in Nigeria such as the Central Bank of Nigeria and the Securities and Exchange Commission to revise the codes of best practices for banks and other public companies overtime with a new single code of corporate governance [the national code of corporate governance] set to be released by the Financial Reporting Council of Nigeria.This paper makes a contribution to the existing literature on the state of corporate governance development in the Nigerian banking and non-banking sector, the impacts of the banking regulations and the efforts put in place at ensuring that banks are well governed. It also addresses the issue of compliance, disclosure and harmonisation of codes in Nigeria. It argues that while standards and codes are being enacted and revised by the CBN, the SEC and now FRCN, there is greater need for the Nigerian internal and external environments (such as the socio-political, economic and cultural systems) to support the reforms. There is also need for better enforcement, a renewed transparency and total compliance to the spirit and letter of the code in Nigeria.

The banking industry participates in financial intermediation by bringing together both the surplus and deficit units of the economy thus accentuating the relevance of good corporate governance practice. Variables such as the independence, objectivity and integrity of the auditor are identified. This paper looks at the practice of good corporate governance in the banking industry. A field survey based on stratified sampling technique was used in the execution of the study. Four hypotheses were tested using the chi square non parametric test on data obtained from the field survey. The major findings are that banking institutions design their own codes of corporate governance based on the SEC and CBN codes and the independence, objectivity and integrity enhances the external auditors' role in ensuring the accountability function of corporate governance in the Nigerian Banking industry. The major recommendations are that the banking industry should set up a Shareholder's Investors' Grievance Committee and the external auditors should also issue a certificate of compliance with corporate governance requirements.

Book excerpt: In the corporate governance of banks, bank boards of directors play a significant role by monitoring and advising management in the formulation and implementation of strategies. Our hypothesis is that certain characteristics of bank boards (size, composition and proactiveness) determine the effectiveness of the boards in carrying out its monitoring and advisory roles. After controlling for heterogeneity and endogeneity using the two-step system estimator, we find that admitting new members into the board improves bank performance up to a certain point 'efficient limit' where continuous increase of the board size begins to destroy value. We observe an inverse relation between board meetings and bank performance which suggest to us that bank boards that meet more often are only reacting to bank's poor performance. This challenges the widespread belief that frequent board meetings play a role that is more proactive than reactive. We agree that bank boards strategically alleviate the problems of governance in banks and reduce the weakness of other corporate governance mechanisms, especially the regulatory and external governance mechanism. Hence empowering boards through incentive packages and enlarged responsibilities with authority to monitor, sanction, reprimand and advise management will be the way forward for the Nigerian banking sector.

Book excerpt: This study presents a re-examination of how net income growth and net profit margin of selected commercial banks quoted on the Nigerian Stock Exchange (NSE) are affected by corporate governance practice for the period 2005 to 2017. The Panel Ordinary Least Square (POLS) was employed to determine the relationship between corporate governance practice, net income growth and net profit margin of commercial banks, while the granger causality technique was followed in evaluating the effect of corporate governance variables on net income growth and net profit margin. After performing the analysis, we found that it is only age of the board as a corporate governance variable that significantly affect net profit margin of selected commercial banks. With respect to the banks' specific fundamentals, it was the debt structure that significantly influenced net profit margin. We concluded hereby that corporate governance practice has little effect in predicting net income growth and net profit margin of commercial banks quoted on the Nigerian Stock Exchange on the argument that it is only the board age that influenced net profit margin significantly. We are of the opinion and still maintain that appointment into the board should be on the bases of age and experience not on friendship or relation. A young vibrant mind with skills and required experience can bring a lot of innovative ideas that is capable of even skyrocketing profitability to the amazement of shareholders. This is not to say that elderliness is an incapacitating factor in that regard.
