Gründe für diese Schwerpunktsetzung liegen in erster Linie in zahlreichen Unternehmenskrisen mit transnationaler Wirkung und in der sich verstärkenden Internationalisierung der Weltwirtschaft. Letztgenannter Grund wird oftmals auf das Schlagwort Globalisierung reduziert. Durch diese Globalisierung wird es für einzelne Staaten sukzessiv schwieriger, nationale Sonderwege einzuschlagen. Daher könnten einige Corporate Governance-Systeme im Zuge des globalen Wettbewerbes zunehmend unter Druck geraten, und es könnte sich folglich eine Konvergenz, wie vielfach von der Literatur angenommen, der Systeme etablieren. Im Rahmen der vorliegenden Arbeit soll die Regulierung der Corporate Governance-Systeme auf Basis des Rechts- und Finanzsystems (Umfeldvariablen) in Deutschland, Großbritannien und den USA vergleichend dargelegt werden. Da die Corporate Governance-Systeme der Länder sich im Zuge dynamischer Prozesse wechselseitig beeinflussen und daher nicht isoliert betrachtet werden können, sollen aktuelle Entwicklungen im Hinblick auf eine mögliche Annäherung der nationalen Systeme und deren Umfeldvariablen beleuchtet werden. Ferner sollen die traditionellen und gegenwärtigen Corporate Governance-Systeme, auch im Hinblick auf spezifische Charakteristika, Änderungsprozesse und der relativen Bedeutung von staatlicher, gesellschaftlicher sowie marktlicher Steuerung auf die Systeme, von Deutschland, Großbritannien und den USA herausgearbeitet, werden. Im nächsten Kapitel wird das theoretische Grundgerüst für die nachfolgenden Gliederungspunkte gelegt. So soll zunächst geklärt werden, was unter Corporate Governance-Systeme zu verstehen und warum es notwendig ist. Ferner werden die gängigsten Corporate Governance-Systeme, potentielle Regulierungsmechanismen und die Messung der Arten von Konvergenz dargestellt. Kapitel drei beinhaltet eine kompakte Beschreibung der Corporate Governance-Systeme in den zu untersuchenden Ländern. Schließlich folgt eine systematische Analyse der Konvergenzprozesse und eine Beurteilung der Intensität der Konvergenz. Das fünfte Kapitel schließt die Arbeit mit einer Zusammenfassung ab.

Doch die angebliche Überlegenheit kam Mitte der 90er Jahre durch viele Unternehmenskrisen ins Wanken. Die Corporate Governance ist Gegenstand eines ständigen Lernprozesses. Aus diesem Grund realisierte man mehr und mehr den Mangel an Forschungsbeiträgen über ländervergleichende Studien („Comparative Corporate Governance“). Um das eigene System zu optimieren, ist die Gegenüberstellung mit ausländischen notwendig geworden. Diese Vergleiche haben konsequenterweise auch dazu geführt, dass man in manchen Teilbereichen von einer Annäherung des anglo-amerikanischen und des deutschen Corporate Governance-Systems spricht. Gang der Untersuchung: Ziel dieser Arbeit ist es, den Wandel im Bereich der Corporate Governance herauszufiltern und diesen unter Konvergenzgesichtspunkten zu bewerten. Dabei soll zuerst Definition und Aufstieg des heute verwendeten Corporate Governance-Begriffs in die wissenschaftliche Forschung in Kapitel 2 aufgezeigt werden. Im 3. Kapitel werden Ursachen für mögliche Annäherungsansätze formuliert. Beginnend mit dem 4. Kapitel werden drei Komponenten (vom Verfasser auch als Klammern bezeichnet), innerhalb derer Indizien zu einer Konvergenz anmuten, kritisch beleuchtet. Dieses erste Kapitel beschäftigt sich mit einer möglichen Angleichung der internationalen Unternehmensverfassungen, wogegen sich das 5. mit dem Wandel in der Interessensvertretung und das 6. mit Umbrüchen in den Führungsprinzipien auseinandersetzt. Der Schwerpunkt liegt auf der Fokussierung des anglo-amerikanischen Corporate Governance-Verständnisses und dem des deutschen, wobei bei ersterem verstärkt auf die Vereinigten Staaten eingegangen wird. Book excerpt: Ancient Greece first coined the concept of "democracy", yet almost every major ancient Greek thinker-from Plato and Aristotle onwards- was ambivalent towards or even hostile to democracy in any form. The explanation for this is quite simple: the elite perceived majority power as tantamount to a dictatorship of the proletariat. In ancient Greece there can be traced not only the rudiments of modern democratic society but the entire Western tradition of anti-democratic thought. In Democracy, Paul Cartledge provides a detailed history of this ancient political system. In addition, by drawing out the salient differences between ancient and modern forms of democracy he enables a richer understanding of both. Cartledge contends that there is no one "ancient Greek democracy" as pure and simple as is often believed. The sources of each of these phenomena are different, and their action is dissimilar. Each can be described as reaching either from the top to the bottom, through the direct involvement of interested States and consequently affecting their internal legal s- tems (international and supranational integration; harmonisation of trade regulations through public international law instruments), or bottom-up, as a result of activity by private parties, leading to the achievement of uniform practices and standards (ar- tration, lex mercatoria). Nonetheless, they both enrich national legal cultures and contribute to transgressing the limits of national (local) particularisms in creating, interpreting and applying the law. The aim of this book is to demonstrate how these processes have in uenced the interpretation of law, how they have shaped the methods and techniques of the interpretation and with what consequences for the outcomes of the interpretative procedures. In assessing the extent of this in uence, due regard must be paid to the fact that the interpretation of law is not, in principle, directly determined by the provisions of law itself.
