Book excerpt: Establishing a corporate governance strategy that promotes the efficient use of organisational resources is instrumental in the economic growth of a country, as well as the successful management of firms. This book reviews existing literature and identifies board structural features as key variables of an effective corporate governance system, establishing a multi-theoretical model that links Board structural characteristics with firm performance. It then, using a comprehensive empirical study of 265 companies listed on the Karachi Stock exchange, tests this conceptual model. This research serves as a significant milestone, reflecting the socio-economic setting of emerging economies, and highlighting the need for the corporate sector in emerging markets to move away from a 'tick-box' culture. It argues that the sector needs to implement corporate governance as a tool to mitigate business risks; appoint and empower non-executive directors to achieve an effective monitoring of management; and establish their own ethical and governance principles, applicable to the Board of Directors. Based on an extensive data base, collected painstakingly over five years, this book offers new insights and conceptual framework for further research in this area. Given the breadth and width of the research, it is a useful source of future reference for students, researchers and policy makers.

Book excerpt: Following a series of corporate scandals, legislators have company executives in their sights, and are arming themselves with ever-greater regulatory firepower. All agree that good governance is essential - but must not be allowed to stifle business performance. Beyond Governance develops the concept of Enterprise Governance, an emerging framework which unites Performance, Conformance and Corporate Responsibility and shows how addressing all of these areas in a concerted, coordinated fashion will deliver value to the organisation and its stakeholders. In particular, it focuses on the skills, processes and systems that are required to deliver excellence in each of these areas, giving readers a practical insight into the issues and an understanding of best practice in each area. Many firms are rethinking their finance activities in the light of e-commerce, shared service centres, business intelligence technology and cost pressures. Beyond Governance explores the challenge of building a modern, flexible finance function, describing the emerging role of the new CFO and how finance professionals should respond to this new business environment.

Book excerpt: Corporate governance is becoming a subject of great concern, not only for financ ial and economic analysts, but also for academics, investors, managers and any o ther group that is influenced by what goes in inside the world of corporations. Ownership structure under the different systems of corporate governance is one m ajor aspect of the debate. Many literatures have been written on the subject but no clear patters are yet defined. This study has examined empirically the relationship between ownership structure and the financial performance of firms on the healthcare sector in the U.S mark et. The results showed: - A positive relationship between the percentage of share held by institutional shareholders and ROE. - A negative relationship between the number of outsiders and ROE - Having the CEO as the major shareholder has a negative effect on ROE - No relation between any of the corporate governance figures used and instituti onal ownership and ROA. - No relation between any the corporate governance figures used and institutiona l ownership and ROC. - The return on stock price is affected positively in the short run only by the percentage of the shares held by the institutional shareholders. - The number of outsiders and insiders and the relation CEO/chairman in the comp any as zero effect neither in the short run nor in the long run on the stock pri ce of that company.

Book excerpt: Evolving governance practices have resulted in boards of directors being made more responsible for creating strategy instead of simply approving strategy. As information technology (IT) becomes more important to the operations of business, IT also becomes more crucial to business strategy. With the shift of responsibility for strategy creation from the executive level to the board level, a number of researchers have recommended that responsibility for the governance of information technology should also shift to the board level. The Sarbanes-Oxley Act has mandated many governance changes in the U.S., and along with additional reports and studies, has influenced governance changes in other jurisdictions. Many of these changes have required increased reliance on information technology, reinforcing the importance of IT to corporate governance. The purpose of this study is to determine if board-level IT focus, board-level IT literacy, governance structures, governance practices, and governance disclosures are associated with firm performance in Canadian companies. This study uses an agency theory approach and quantitative analyses of data from 2004 and earlier from companies that comprised the Toronto Stock Exchange S&P/TSX Composite Index at the end of 2004. Four research questions and 15 hypotheses are investigated. The findings indicate that board-level IT literacy and IT focus are significantly associated with firm performance. Gender diversity was found to be positively associated with performance, but in general, governance structures linked with board independence were found not to be associated with performance. Best practices in stock options and aligning directors' interests with those of the firm through shareholding requirements were found to be positively associated with performance. Only a weak link was found between disclosure practices and firm performance.

Book excerpt: Corporate governance has received a lot of attention in India because of the scandals that have taken place in the corporate world in the last two decades. Investors are also concerned over the relationship between corporate governance and performance indicators. In this context, our study empirically examines the impact of corporate governance on firm performance for Indian firms for the period 2001-2010. We utilize a range of measures of corporate governance including board size, outside directors, number of meetings held and firm performance variables covering both market-based and financial indicators. For empirical analysis, different specifications like fixed effects and simultaneous equation method have been employed for the robustness of the results. Findings of the analysis suggest that corporate governance has a significant impact on firm performance.
