Book excerpt: Corporations have the right, under the United States Supreme Court decision Citizens United v. FEC, to make independent political expenditures in federal elections. Most public corporations are subject to some level of federal or state regulation of their business practices. Because regulations are the by-product of the political process, shouldn't public companies exercise their right to influence the process by which regulations are created? This paper analyzes Citizens United from a corporate governance perspective and asserts that corporate political speech is a necessary fact of life for many public corporations. Additionally, the paper adds a new set of empirical findings to the literature which demonstrates that the decision in Citizens United and the associated right to speech does not have an adverse effect on the market value of firms. The paper further argues that Citizens United was based on assumptions regarding corporate governance's ability to protect shareholders who may have opposing political beliefs. These assumptions do not hold true in the modern corporate marketplace. I argue that the personal political predictions of shareholders are largely irrelevant to the larger mission of the corporation - which is to enhance long-term shareholder financial value. Shareholders should not, as has been proposed, be given express rights to approve or disapprove political speech. To grant such rights would unnecessarily encroach into legitimate business judgment by adding another layer of shareholder sovereignty in addition to those granted by recent Congressional and regulatory action. Even assuming that corporations do not possess all of the attributes of natural persons for whom political speech rights were designed, corporate participation in the political process should be welcomed by shareholders who have economic incentives to gain, and by the public, who will benefit from the enrichment of political discourse.

Book excerpt: This Article proposes several routes to reverse Citizens United, the Supreme Court case holding that corporate campaign spending is “speech” protected by the First Amendment. The core problem of Citizens United is that corporations are illegitimate participants in our politics. Corporate law requires corporate officers to pursue the corporate interest. They are thus disqualified from considering the central political questions of a democratic capitalist country: defining the rules of the market (which define corporate interests) and balancing profit against other, more important, values. The high road to fixing Citizens United is a constitutional amendment to extend the fundamental insights of the Eighteenth Century liberal revolutions to the corporate sector: the Constitution should protect us from corporate officers, not the other way around.But we can also reform Citizens United by statute. Citizens United is based on a conceptual error: Corporate "speech" is an issue of corporate governance, not the First Amendment. Even if we entirely banned corporate electioneering and lobbying, every corporate employee, investor and customer would remain entirely free to speak, spend and unite to promote political positions. Instead, the issue is corporate governance - for whom corporate officials work and the limits on the authority they are given to use money that is not their own. No constitutional amendment is necessary. Congress or even a single state could require a corporation which opts to electioneer to do so in accord with our constitutional values of free debate and democratic elections.

Little research has focused on the relationship between corporate governance -- shareholder rights and power -- and corporate political activity. This paper explores that relationship in the S & P 500 to predict the effect of Citizens United on shareholder wealth. The paper finds that in the period 1998-2004 shareholder-friendly governance was consistently and strongly negatively related to observable political activity before and after controlling for established correlates of that activity, even in a firm fixed effects model. Political activity, in turn, is strongly negatively correlated with firm value. These findings -- together with the likelihood that unobservable political activity is even more harmful to shareholder interests -- imply that laws that replace the shareholder protections removed by Citizens United would be valuable to shareholders"--John M. The decision opened the door for corporate treasuries to engage in independent political spending. Politically connected firms have lower announcement returns at the ruling than non-connected firms. The estimates suggest that the value of a political connection decreases by $6.9 million. To evaluate the effect of Citizens United on corporate political activism, we explore the fact that Citizens United also lifts bans on independent political spending in states where such bans existed. After the ruling, firms headquartered in states where bans are lifted have fewer state-level connections relative to firms in other states. Overall, our evidence supports the hypothesis that independent political spending crowds out political connections. We do not find any significant crowding-out effects of independent political expenditures on lobbying activity, executive contributions, and political action committees (PAC) contributions.

The Citizens United decision says that "corporate democracy" allows shareholders to protect themselves. Therefore, protecting shareholder rights is not a compelling interest that justifies state action.I theorize that shareholder association rights cannot be protected adequately under current Delaware corporate law. If this is true, then it presents alternate grounds for limiting a corporation's political activities distinct from the speech equalization arguments put forward by opponents of such limits.

Book excerpt: Could a new “discourse theory” of the firm provide a better way than existing corporate law principles to understand the evolving nature of the firm and the role shareholders should play in corporate governance? Two recent developments provide a special urgency for considering the question. First, the Supreme Court's decision in Citizens United v. FEC, which grants to corporations essentially the same political speech rights as individuals, will affect democracy at its core by allowing corporations to dominate the political agenda and public opinion. Second, the Securities and Exchange Commission's adoption of a new Rule 14a-11, which grants to certain shareholders the right to nominate directors using the corporation's own proxy, could effectively serve as a check on creeping corporate influence in all realms of society. Those two developments combine to signal a potentially tectonic shift in the nature of the corporation and to beckon for a more descriptively accurate theory of the corporation capable of accommodating such a change. But why is a new discourse theory necessary to answer effectively questions about the nature of the firm and expansion of shareholder rights? Quite simply, the corporation has evolved from a simple investment vehicle for generating wealth. Accordingly, the underlying theories governing corporate behavior should evolve as well. The decisions affecting some of the most important aspects of our individual and communal lives now get made inside the boardroom rather than in the public eye. And, in the wake of Citizens United, corporate actors may likely dominate the political agenda and public opinion on any matters that remain open for discussion in the public realm. In some real sense, the ability to direct corporate decisions represents the ability to control political life. Not only does a new discourse theory of the firm accurately attend to the evolving nature of the corporation, but it provides rather clear guidance on whether the SEC should promote enhanced shareholder suffrage through director nomination rights. Within a new discourse theory of the firm, providing shareholders the right to nominate directors represents a clear first step in enhancing a continual engagement between corporate managers and the shareholders they serve. Moreover, enhanced discourse necessarily promotes a more efficient level of shareholder suffrage than current corporate law provides.
