Introduite au sein du contrat à titre onéreux, cette distinction fait écho à l’opposition classique du marché et de la firme et met en regard deux modèles contractuels : le « contrat-permutation » et le « contrat-concentration ». Alors que le contrat-permutation est l’instrument juridique qui permet d’encadrer les échanges de biens et de services et concilie les intérêts contraires des parties, le contrat-concentration organise la poursuite d’une entreprise commerciale de manière à réunir les intérêts identiques des associés. Cette classification bipartite ne permet plus cependant de rendre compte de l’ensemble de la réalité contractuelle. Il apparaît, en effet, que se développent, entre le contrat-permutation et le contrat-concentration, des figures hybrides qui empruntent leurs traits aux deux modèles habituels. Qu’il nous suffise d’évoquer ici le contrat d’édition, les contrats de distribution intégrée tels que le contrat de franchise ou le contrat de concession, le mandat d’intérêt commun, le bail à construction ou encore les contrats de coopération inter-entreprises qui se développent sur la scène du commerce international, dont le contrat de joint venture et le contrat de consortium sont les principales incarnations. Expression d’un nouveau modèle économique qui se situe à mi chemin entre le marché et la firme – la coopération –, ces figures ont en commun d’organiser une mise en relation d’actifs complémentaires de manière à coordonner les intérêts convergents mais différents des parties. La présente étude se propose d’élaborer un cadre juridique qui permette d’embrasser cette réalité nouvelle en introduisant entre le contrat-permutation et le contrat-concentration, une nouvelle figure : le contrat-coopération. Elle tente d’en cerner les contours et d’en décliner le régime.

In recent decades, developing countries have made substantial investments in infrastructure, achieving dramatic gains for households and producers by expanding their access to services such as safe water, sanitation, electric power, telecommunications, and transport. Even more infrastructure investment and expansion are needed in order to extend the reach of services - especially to people living in rural areas and to the poor. But as this report shows, the quantity of investment cannot be the exclusive focus of policy. Improving the quality of infrastructure service also is vital. Both quantity and quality improvements are essential to modernize and diversify production, help countries compete internationally, and accommodate rapid urbanization. The report identifies the basic cause of poor past performance as inadequate institutional incentives for improving the provision of infrastructure. To promote more efficient and responsive service delivery, incentives need to be changed through commercial management, competition, and user involvement. Several trends are helping to improve the performance of infrastructure. First, innovation in technology and in the regulatory management of markets makes more diversity possible in the supply of services. Second, an evaluation of the role of government is leading to a shift from direct government provision of services to increasing private sector provision and recent experience in many countries with public-private partnerships is highlighting new ways to increase efficiency and expand services. Third, increased concern about social and environmental sustainability has heightened public interest in infrastructure design and performance.
