Among other things, we find that pre-existing relationships are a primary consideration in the selection of the lead manager and other syndicate members. Pre-marketing feedback figures prominently throughout the pricing process. The width of the price range of book-built IPOs is especially driven by valuation uncertainty. There is evidence of strategic underpricing in anticipation of subsequent equity issues and because of management's interest in satisfying new shareholders. Many interviewees believe that the lead manager's business interests have had a strong influence on the allocation of shares. Managerial perceptions of IPO success are largely driven by how well the firm fared in terms of stock price performance, changes in media attention and visibility, and changes related to the retention and recruitment of staff.

Book excerpt: We study whether the financial experience of chief executive officers (CEOs) is associated with earnings management around initial public offerings (IPOs). Examining the sample of U.S. initial public offerings (IPOs) from 2003 to 2011, we find that newly listed firms with financial expert CEOs are less likely to engage in earnings management than those with non-financial expert CEOs. We also document that for IPO firms managed by financial expert CEOs the at-issue earnings management is positively associated with future accounting performance and not significantly related to post-issue long-term stock abnormal returns. This indicates that financial expert CEOs tend to be informative in financial reporting in order to allow investors to properly gauge the fair value of the firm. Overall, our findings support the importance of CEO financial experience in the provision of higher quality financial reporting.

Book excerpt: This study investigates the effects on initial public offering (IPO) outcomes of the existence and type of financial expertise of chief executive officers (CEOs) and chief financial officers (CFOs) serving on their own IPO firms' boards. For brevity we refer to these executives as executive board members. We investigate the effects of three types of executive board member financial expertise: that obtained via accounting-based, user-based, and supervisory-based work experience. The results suggest that executive board members having accounting-based experience appear to use that knowledge and experience to decrease information asymmetry at IPO, leading to lower underpricing of initial offerings. Neither of the other two types of financial expertise for executive board members helps to improve IPO underpricing. We also find that executive board members with accounting-based experience are associated with shorter IPO preparation times, and less downward IPO offer price adjustments. Our study suggests that IPO firms experience benefits when executives having accounting expertise serve on their boards.

Available in PDF, EPUB and Kindle. Book excerpt: The term "cheap stock" describes undervalued stock options granted to CEOs and other key employees prior to initial public offerings (IPOs). Pre-IPO firms have incentives to issue cheap stock as compensation because it results in lower compensation expense on the income statement and in large cash windfalls to CEOs subsequent to the IPO. Because cheap stock results in an overstatement of earnings, the Securities and Exchange Commission frequently challenges the valuations of these grants, which makes cheap stock a key accounting issue in many IPOs. Using a sample of firms that completed IPOs between 2004 and 2007, I investigate the effect of corporate governance structures, outside monitors, and other factors on the level of cheap stock grants. My results suggest that higher-quality governance structures, specifically audit committee accounting experts and more independent boards, constrain the level of cheap stock granted to CEOs. I also find that when CEOs have a stronger intrinsic commitment to the firm and when firms receive independent stock valuations on option grant dates, CEOs receive lower levels of cheap stock. Greater levels of cheap stock are granted when directors receive pre-IPO stock options and when CEOs are hired in the two-year period before the IPO. Additionally, I find a negative relation between CEO cheap stock and future firm operating and stock return performance. Overall, my results illustrate the importance of corporate governance structures in IPO firms and suggest that greater levels of cheap stock are an indication of agency problems, which in turn, adversely affect shareholder value.

However, both the long-term stock performance and the firms' survival rate are higher for founder-led IPOs.
