Book excerpt: Drawing upon a wide range of sources of empirical evidence, historical analysis and theoretical argument, this book shows beyond any doubt that the private, profit-making, corporation is a habitual and routine offender. The book dissects the myth that the corporation can be a rational, responsible, 'citizen'. It shows how in its present form, the corporation is permitted, licensed and encouraged to systematically kill, maim and steal for profit. Corporations are constructed through law and politics in ways that impel them to cause harm to people and the environment. In other words, criminality is part of the DNA of the modern corporation. Therefore, the authors argue, the corporation cannot be easily reformed. The only feasible solution to this 'crime' problem is to abolish the legal and political privileges that enable the corporation to act with impunity.

Available in PDF, EPUB and Kindle. Book excerpt: A study and analysis of lack of enforcement against criminal actions in corporate America and what can be done to fix it. In the early 2000s, federal enforcement efforts sent white collar criminals at Enron and WorldCom to prison. But since the 2008 financial collapse, this famously hasn’t happened. Corporations have been permitted to enter into deferred prosecution agreements and avoid criminal convictions, in part due to a mistaken assumption that leniency would encourage cooperation and because enforcement agencies don’t have the funding or staff to pursue lengthy prosecutions, says distinguished Columbia Law Professor John C. Coffee. “We are moving from a system of justice for organizational crime that mixed carrots and sticks to one that is all carrots and no sticks,” he says. He offers a series of bold proposals for ensuring that corporate malfeasance can once again be punished. For example, he describes incentives that could be offered to both corporate executives to turn in their corporations and to corporations to turn in their executives, allowing prosecutors to play them off against each other. Whistleblowers should be offered cash bounties to come forward because, Coffee writes, “it is easier and cheaper to buy information than seek to discover it in adversarial proceedings.” All federal enforcement agencies should be able to hire outside counsel on a contingency fee basis, which would cost the public nothing and provide access to discovery and litigation expertise the agencies don't have. Through these and other equally controversial ideas, Coffee intends to rebalance the scales of justice. “Professor Coffee’s compelling new approach to holding fraudsters to account is indispensable reading for any lawmaker serious about deterring corporate crime.” —Robert Jackson, professor of Law, New York University, and former commissioner, Securities and Exchange Commission “A great book that more than any other recent volume deftly explains why effective prosecution of corporate senior executives largely collapsed in the post-2007–2009 stock market crash period and why this creates a crisis of underenforcement. No one is Professor Coffee’s equal in tying together causes for the crisis.” —Joel Seligman, author, historian, former law school dean, and president emeritus, University of Rochester

Corporate officers, employees, and agents are individually liable for the crimes they commit, for the crimes they conspire to commit, for the foreseeable crimes their co-conspirators commit, for the crimes whose commission they aid and abet, and for the crimes whose perpetrators they assist after the fact. Individual criminal statutes, Justice Department policies, and the Sentencing Guidelines largely dictate the circumstances under which, and the extent to which, agents, employees, corporations, and similar unincorporated entities are prosecuted and punished. This book provides a brief overview of federal law in the area. The book also provides a brief discussion of the legislation, the legal background, and a chronology of related issues and events.

Book excerpt: This book serves as a comprehensive treatment of the main financial and public malfeasance crimes associated with the subject of white-collar crime. In student-friendly form, it teaches the operations of the major federal statutes in this area while unifying them according to the dominant cross-cutting themes of the nature of corruption and the types of harms to society, government, the legal system, and the market that justify the severity of these laws. It draws on case material not just from the Supreme Court but also from the lower federal courts where the hard work of implementing confessional mandates occurs. In such areas as Securities Fraud, it also covers the agency regulations that play an implementing role. Thus, it offers students rich exercises in statutory interpretation as well as case analysis. Highlights of the First Edition: Materials on perjury, false statements and obstruction of justice that are extremely timely in light of political controversies that reach back to the Nixon and Clinton administrations and are still relevant today Careful elaboration of the different crimes of bribery, including bribery of federal officials under 18 U.S.C. section 201, bribery of state and local officials under the Mail and Wire Fraud laws and federal program bribery law, and the Foreign Corrupt Practices Act Concise treatment of criminal Securities Fraud and Insider trading for students who have not otherwise studied Securities Regulation Extended treatment of the major mens rea issues in white-collar crime, as an advanced version of the subject of mens rea in the standard first-year Criminal Law course, with emphasis on such important doctrines as “deliberate ignorance” and the mental state of ”corruptly.” Professors and students will benefit from: Concisely edited case excerpts in very readable form. Handy Appendix with texts of all major statutes covered in the book. Short provocative notes raising questions of jurisprudence and social philosophy around problems of overcriminalization and the meaning of the concept of “corruption.” Concise non-technical material on cybercrime to show how modem technology raises themes of corruption similar to those of more conditional crimes.

Book excerpt: Since its first publication in 1991, New Flora of the British Isles has become established as the standard work on the identification of the wild vascular plants of the British Isles. The Flora remains unique in many features, including its full coverage of all British wild plants, its user-friendly organisation, and its specially compiled keys and descriptions. This new edition includes the addition of more than 160 species, so that 4,800 taxa are now covered in varying degrees of detail. It also incorporates the new molecular system of classification based on DNA sequences. Furthermore, it includes 1600 species illustrations, rewritten distributions and an overhaul of the designation of degrees of rarity, with the introduction of a third, less rare, category. These revisions should ensure that this third edition remains the essential reference source for all taxonomists, ecologists, conservationists, plant hunters and biogeographers, whether they be researchers, teachers, students or amateurs.

This book was released on 2016-08-16 with total page 352 pages. Available in PDF, EPUB and Kindle. Book excerpt: From the lead prosecutor on the Enron investigation, an eye-opening examination of the explosion of American white-collar crime. If “corporations are people too,” why isn’t anyone in jail? A serious defect in a GM car causes accidents; Enron scams investors out of their money; banks bet on the housing market crash and win. In the race to maximize profits, corporations can behave in ways that are morally outrageous but technically legal. In Capital Offenses, Samuel Buell draws on the unique pairing of his expertise as a Duke University law professor and his personal experience leading the investigation into Enron—the biggest white-collar crime case in U.S. history—to present an in-depth examination of business crime today At the heart of it sits the limited liability corporation, simultaneously the bedrock of American prosperity and the reason that white-collar crime is difficult to prosecute—a brilliant legal innovation that, in its modern form, can seem impossible to regulate or even manage. By shielding employees from legal responsibility, the corporation encourages the risk-taking that drives economic growth. But its special legal status and its ever-expanding scale place daunting barriers in the way of federal and local investigators. Detailing the complex legal frameworks that govern both corporations and the people who carry out their missions, Buell shows that deciphering business crime is rarely black or white. In lucid, thought-provoking prose, he illuminates the depths of the legal issues at stake—delving into fraudulent practices like Ponzi schemes, bad accounting, insider trading, and the art of “loopholing”—showing how every major case and each problem of law further exposes the ambivalence and instability at the core of America’s relationship with its corporations. An expert in criminal law, Buell masterfully examines the limits of too permissive or overzealous prosecution of business crimes. Capital Offenses invites us to take a fresh look at our legal framework and learn how it can be used to effectively discipline corporations for wrongdoing, without dismantling the corporation.
