Le statut juridique de l'entité candidate à la qualification d'entreprise importe peu :l'entreprise peut être aussi bien une personne physique ou une personne morale qu'une entité dépourvue de la personnalité juridique, comme un groupe de sociétés ou une succursale. Est en revanche déterminant l'exercice par l'entité d'une activité économique. Celle-ci se définit comme toute activité portant sur des produits, des biens ou services réalisée au sein du marché, rémunérée et excluant la solidarité, et sans que doivent être pris en compte ses modalités d'exercice, telles que notamment les prérogatives de puissance publique. L'entité remplissant ces conditions ne sera cependant appréhendée que si elle est identifiée comme entreprise contrevenante. Cette qualification repose sur un critère : l'autonomie économique de l'opérateur, qui consiste à pouvoir déterminer sa propre stratégie commerciale et à en assumer les risques. L'entreprise contrevenante dûment identifiée, les autorités cherchent à la localiser au travers d'une personne juridique support. En effet, l'entreprise, bien que sujet du droit de la concurrence, n'est pas élevée au rang des sujets de droit. Si bien que pour l'application des règles processuelles du droit de la concurrence, qui nécessitent la présence d'une personne juridique, l'entreprise doit être rattachée à un support juridique. La détermination de ce support soulève quelques difficultés lors de restructurations intervenues entre la commission de l'infraction et le prononcé de la décision. De manière pragmatique, les autorités considèrent que le support juridique est la personne juridique qui exploitait l'entreprise contrevenante au moment des faits ou, si elle a disparu, la personne juridique qui en assure la continuité économique et fonctionnelle.
