Book excerpt: Research Paper (undergraduate) from the year 2008 in the subject Business economics - Economic Policy, grade: 1,7, University of Applied Sciences Berlin, course: International Business Strategy, language: English, abstract: Over the past 30 years, there were two main vehicles through which companies have globalised: international strategic alliances and cross-border Mergers & Acquisitions (M&As). Both vehicles are instruments used by companies to increase their global reach and competitiveness. In the new economy, alliances and M&As seem to be the normal way of doing business. Although strategic alliances and M&As are not a recent phenomena, their pace of growth and the variety of their forms has been increasing. When dealing with strategic alliances and M&As, four main questions arise: What are the drivers of strategic alliances and M&As? Which sources of success and failure offer these two growth vehicles? Are there specific determinants that are decisive in the process of establishing a strategic alliance or doing a merger or acquisition? And why do so many M&A fail? To answer these questions chapter 1 deals with the rationale for strategic alliances and M&As by outlining key points of the past development. Chapter two clarifies the different types of international alliances and their advantages and disadvantages. It also describes success criteria being important for forming strategic alliances by clarifying the major steps in analysing strategic alliances. To combine theory and praxis, chapter three ends with a short case study about the Renault-Nissan Alliance stating the key success factors. The chapter three is about cross-border M&As by focussing on their the two phases - the pre-acquisition phase and the post-acquisition phase. It describes how companies should decide, give value and negotiate the deal and underlines important managerial processes involved in the integration of the merged company. By analysing the rea

However, they are not natu¬rally successful. This paper briefly describes the prominent Renault-Nissan alliance, mostly from Nissan's view, and tries to analyse the key-factors of its success. Due the fact that Nissan was in a very bad financial condition during the 90s and on the way to face bankruptcy, this paper argues how successful allying companies can be if each of them has that what the other needs. Furthermore it will be shown that alliances continuously develop.

Book excerpt: Strategic Networks examines the new style of industrial co-ordination which enables independent companies to work so closely together that they can sometimes present a 'single face' to the outside world. Co-ordination is not achieved by mergers and acquisitions, but through the creation of a 'strategic network' of companies working towards the same goals. Based on the author's extensive research, the book first analyses the economic arguments for industry co-ordination, and suggests in which industries it is most likely to occur. The second part of the book focuses on * managerial implications for this type of organization * impact on responsibilties * control without ownership * co-operation instead of competition * how to set up alliances and how to maintain them A wide range of international examples and cases are featured in the book. J. Carlos Jarillo is Professor of Strategy at the University of Geneva (previously Professor of General Management and International Strategy at IMD, Switzerland). His research on strategy has been widely published in more than two dozen articles and books. He also acts as senior adviser to a large number of international corporations.

Available in PDF, EPUB and Kindle. Book excerpt: "If a partner understands better the role alliances play in business strategy, is able to engage in a strategic conversation around the needs for and benefits derived from an alliance, and has a more sophisticated approach to partner selection, there should be fewer conflicts down the road." —from Alliance Competence Dell Computers revolutionized the PC market when the company formed an alliance between Intel and FedEx. Through this partnership, Dell was able to mass-customize and deliver computers faster than most of its competitors. With monthly losses around $1 million, USAir decided to join forces with British Airways. Through this alliance, USAir became a global player in the airline industry, and gave both companies the ability to save millions in annual costs by incorporating joint purchasing of services, fuel, aircraft, and more. Strategic alliances are becoming more and more essential to the viability of a company. These alliances are pervasive throughout the corporate landscape and have a big impact on the way business is conducted across the globe. Written by strategy experts from the University of Virginia's prestigious Darden School, Alliance Competence combines the latest research and case studies to explore the key aspects necessary to develop a successful alliance. Enhanced by a five-year study of global companies, this book offers unique insights about building the foundations of alliance competence. These competencies provide firms with a source of sustainable competitive advantage that will help them compete more successfully in global markets. Through actual "war stories" the problems and challenges that alliances tend to face are revealed, as well as concrete suggestions for managing through the evolutionary cycle. After examining all the research available, the authors introduce a process they've developed called The No Blame Review? (NBR). This collaborative, nonjudgmental process helps alliances constructively confront times when the alliance seems off track. The NBR creates an objective, nonthreatening, and non-value-laden opportunity for alliance managers and strategic sponsors on both sides to raise, investigate, and review serious issues. It also allows partners to check the alliance's vital signs and to make a determination that all systems are in alignment. This process provides the most positive approach to conflict resolution. The insight, real-world examples, and research featured in Alliance Competence will give you the tools and diagnostics necessary for locating potential allies and creating a successful alliance. "A thoughtful, experience-based exploration of the subtleties and nuances that must be addressed when entering into complex alliance relationships. Required reading!" —Lawrence M. Small, President and COO, Fannie Mae "From global service enterprises to e-business start-ups, firms in the future will win or lose by how well they manage their alliance strategies. This book is a gold mine of valuable perspectives, useful advice, and practical checklists that will help you tilt the game in your favor. Read it and, more importantly, use it to develop your own alliance competence." —Benjamin Gomes-Casseres, Director, MBA Program, Brandeis University and author, The Alliance Revolution

Available in PDF, EPUB and Kindle. Book excerpt: Forging business alliances can vitalize corporate strategies. This book is a road map to the concepts and theories underlying successful business alliances in four critical industries: automobile manufacturing, pharmaceuticals, airlines, and telecommunications. Dr. Culpan offers the essentials of global partnering as seen from a strategic management viewpoint. He examines joint ventures, non-equity alliances, and business options designed to give a competitive edge over other allied firms. New conceptual models help to clarify various strategies and collaborative processes. By comparing the four major industries—and specific companies in each—this study explores not only the uniqueness of its subjects, but also the common grounds of various multinationals. Through key insights and ideas, the possibilities and realities of corporate alliances begin to emerge. Attention is also paid to the decision-making process as it relates cooperative ventures, as well as to the inevitable managerial challenges of forming, and managing, strategic alliances. The result is an astute analysis ideal for teachers, students, and strategists seeking fresh insights into the workings and benefits of corporate alliance.

Book excerpt: Strategic alliances have generally been used to refer to relationships that allow an organization to access the strengths and capabilities of other organizations, with the organization often focused on being the firm. The strategy behind such an alliance is for each firm in the alliance to draw on the core competencies of the other firm(s) with the goal of facilitating the growth and development of each member. Strategic alliances have long been studied from several perspectives, including the way in which the alliance is brought about, alternative forms of relationships that form the structure of the alliance, efficiency gains from the alliance, and the life cycle of the alliance. The strategic alliances that are now being observed are those that involve partners other than firms. In many advanced nations, strategic alliances are subsidized by the public sector in the belief that they advance economic growth. One such form of this public/private partnership involves universities as the public partner; another form involves a government agency as the public partner; and a third form involves both. This book transcends the traditional approach to a strategic alliance. As such, this collection might represent the locus of observational points that make up a new frontier, re-defining the scope of research that falls under the rubric of ‘strategic alliances’. This book was originally published as a special issue of Economics of Innovation and New Technology.
