Book excerpt: Le développement des formes de participation des salariés dans l’entreprise depuis l’après-guerre a fait apparaître de nouvelles problématiques en terme de comportement des salariés. Qu’ils soient actionnaires, administrateurs ou simples employés dépourvus de droits au capital et de vote, les salariés ne sont plus observés en tant que facteur de production comme dans la littérature microéconomique classique mais, désormais, comme une véritable partie prenante de l’entreprise, agissant tant sur la performance que la gouvernance des firmes. En matière d’actionnariat salarié, nous montrons que son importance encourage les entreprises à maintenir les cours boursiers à des niveaux moins élevés. Par ailleurs, nous observons que les augmentations de capital réservées aux salariés sont essentiellement réalisées par des firmes familières de ce type d’opération et que le caractère sécurisé de l’offre est source d’une plus grande souscription de titres. Concernant la représentation des salariés dans les conseils d’administration et de surveillance, nos résultats mettent en évidence que les administrateurs élus par les salariés réduisent significativement les montants versés aux actionnaires sous forme de dividendes et de rachats d’actions, et siègent au sein de conseils de plus grande taille et nécessitant davantage de réunions. Les administrateurs représentant les salariés actionnaires exercent, quant à eux, une influence positive sur la performance opérationnelle et boursière. Enfin, nous montrons que les relations sociales sont plus consensuelles dans les entreprises familiales, ceci se traduisant par des conflits moins fréquents, moins intenses et plus courts
