It was held that "shall" was a command to the company not to exceed these rates, and not a contract that the state would not reduce them (25). Another striking case arose in Chi' (24) Vicksburg Railroad Co. v. Dennis, 116 U. S., 665. (25) Rogers Park Water Co. v. Fergus, 180 U. B., 624. cago. A corporation chartered for twenty-five years was granted by the city of Chicago the right to operate street railways in the city for the period of twenty-five years. A few years later the Illinois legislature extended the existence of this corporation to ninety-nine years, and provided that all contracts, stipulations, licenses, and undertakings entered into between Chicago and the corporation respecting the regulation and use of street railways in the city should be continued in force "during the life hereof." This act was opposed by many citizens of Chicago on the ground that it extended the street railway franchise for ninety-nine years, without the consent of the city, and it was vetoed by the governor of Illinois on this ground. The legislature passed it over the veto, and forty years later it came before the United States Supreme Court for construction. A majority of the court held that the corporate existence was extended for ninety-nine years, but that the right to run a street railway in Chicago was not extended at all, the words "during the life hereof" referring to the life of the original grant from the city, and not the newly extended life of the corporation itself (26). 239.
