Available in PDF, EPUB and Kindle. Book excerpt: Upon its publication in 1963, Corley's Legal Environment of Business was the first and only business law textbook to emphasize public rather than private law, government regulation of business rather than contracts, and legal relationships rather than business transactions. A major innovation, it established a new course that the authors termed the legal environment of business. Over the years others have attempted to attain the success and stature of The Legal and Regulatory Environment of Business, but none has been able to match its timely, innovative coverage. Substantially updated, the 10th edition continues the text's reputation for ethics, authority and coverage of current areas of importance to business.

Book excerpt: The greatest philosopher of all time is offering to sell his soul to the Devil. All he wants is twenty more years to complete his life’s work. After that, he really doesn’t care. But the assistant demon assigned to the case has his suspicions, because the philosopher is Saloninus–the greatest philosopher, yes, but also the greatest liar, trickster and cheat the world has yet known; the sort of man even the Father of Lies can’t trust. He’s almost certainly up to something; but what? "Parker generates a fair degree of suspense... an accomplished performance." -- Gary K. Available in PDF, EPUB and Kindle. Book excerpt: During its classical period, American contract law had three prominent characteristics: nearly unlimited freedom to choose the contents of a contract, a clear separation from the law of tort (the law of civil wrongs), and the power to make contracts without regard to the other party's ability to understand them. Combining incisive historical analysis with a keen sense of judicial politics, W. David Slawson shows how judges brought the classical period to an end about 1960 with a period of reform that continues to this day. American contract law no longer possesses any of the prominent characteristics of its classical period. For instance, courts now refuse to enforce standard contracts according to their terms; they implement the consumer's reasonable expectations instead. Businesses can no longer count on making the contracts they want: laws for certain industries or for businesses generally set many business obligations regardless of what the contracts say. A person who knowingly breaches a contract and then tries to avoid liability is subject to heavy penalties. As Slawson demonstrates, judges accomplished all these reforms, although with some help from scholars. Legislation contributed very little despite its presence in massive amounts and despite the efforts of modern institutions of law reform such as the Conference of Commissioners on Uniform State Laws. Slawson argues persuasively that this comparison demonstrates the superiority of judge-made law to legislation for reforming private law of any kind.

This book was released on 2016-02-25 with total page 333 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book is about one of the most controversial dilemmas of contract law: whether or not the unexpected change of circumstances due to the effects of financial crises may under certain conditions be taken into account. Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies. The book collects the 19 national reports and the general report originally presented in the session regarding the Effects of Financial Crises on the Binding Force of Contracts: Renegotiation, Rescission or Revision during the XIXth congress of the International Academy of Comparative Law, held in Vienna, July 2014.

Book excerpt: This resource serves to educate lawyers and business professionals on how to draft the many types of "boilerplate" provisions, a legal term that refers to the standardized, one-size-fits-all provisions of a contract. Each chapter tackles one of 20 provisions and analyzes why it is important, the key legal and business issues raised, and how to draft the provision to suit a particular transaction. Such analysis not only helps readers better understand how to draft these provisions in their contracts, but also helps them better understand the other party's process.

He does not expect that the reader or student will find in the present book all that is contained in the well known text-books upon these subjects. Nor is he ready to admit that a larger or more comprehensive book is desirable to answer the purpose intended by the volumes of the Cyclopedia of Law. It is only the aim and purpose of the Series to furnish in convenient and inviting form the principles and ele ments of the American law.
