Available in PDF, EPUB and Kindle. Book excerpt: European private equity investment reached €47 billion in 2005, up 27% from 2004. Funds raised for private equity were €72 billion, up 250% on the previous year, both figures being all time highs. Raising Venture Capital Finance in Europe provides business owners, entrepreneurs and investors alike with a step-by-step approach to exploiting this market and funding new projects effectively. Written by Keith Arundale, an advisor and commentator on the European and US VC and private equity industry for over 20 years, the guide blends business experience with practical approaches to enable the reader to maximize the opportunities available. The book includes a series of real-life case studies from venture capitalists and entrepreneurs from around Europe, each with practical tips for successful venture capital finance raising. With forewords from Sir Paul Judge (Chairman, Enterprise Education Trust) and Patrick Sheehan (Chairman, Venture Capital Committee, European Private Equity and Venture Capital Association) the book begins with a brief introduction to the field, including an analysis of current trends and issues in the industry, and goes on to provide a detailed framework for an objective assessment of each business opportunity. The book looks at sources of finance and private equity, shows how to write a successful business plan, details the entire investment process, and considers the tax and legal issues involved. A particular feature of the book is that it looks at the topic from both sides - showing what the venture capitalist is looking for as well as detailing how an entrepreneur or business owner can make proposals attractive to those investors This means that the reader will be able to minimize time wasted on unnecessary activities and therefore develop investment approaches which are succinct, relevant, and give every chance of success.

Available in PDF, EPUB and Kindle. Book excerpt: European venture capital (VC) funds have historically underperformed their US counterparts. This has resulted in reduced investment into European VC by the traditional institutional investors. This book investigates the factors that give rise to the performance difference. It is based on the author’s research at the Adam Smith Business School, University of Glasgow which involved a qualitative study of some 64 VC firms in the UK, continental Europe and the US, supplemented by 40 interviews with other stakeholders, including limited partner investors, corporate venturers, entrepreneurs and advisors. Readers will gain an in-depth understanding of the various structural, operational and wider environmental factors that impact on the performance difference between UK/European and US VC funds. The study is unique in that it provides, for the first time, a holistic and extensive analysis of the entire investment process from sourcing deals to exiting deals specifically contrasting Europe and the US in terms of the variables pertaining to the investment process and the impact on the fund performance. Factors impacting on the performance differential are structural, resulting from characteristics of the funds themselves, operational such as the investment practices of the VC firms which manage the funds and environmental such as culture and attitude to risk and the wider ecosystem in which the funds operate. These factors are set out clearly for the reader. The characteristics of the better performing funds in Europe and the US are also investigated. The book is aimed at academics who are researching venture capital fund performance and investment practices and also at practitioners, advisors and policymakers who want to learn about best VC investment practices. Whilst the book is focused on European and US VC investing, the best practices are also pertinent for VC firms and funds setting up in other geographies, particularly in emerging markets. To this end, best practice guidelines based on the research are included.

Book excerpt: ÔThis exciting second volume of cutting-edge research on venture capital takes up where volume one leaves off, bringing greater depth to topics covered in the first volume (such as angel investing) and adding new topics and insights. It poses interesting questions such as Ð Is venture capital in crisis? Are new models of early investing needed? Ð and offers carefully researched answers. Landstršm and Mason provide insightful commentary and skillfully pinpoint the contributions of a talented set of researchers. Both scholars and practitioners of venture capital will want to read this book.Õ Ð Harry J. Sapienza, University of Minnesota, US ÔThe second edition of the Handbook of Research on Venture Capital provides an important guidepost for venture capital researchers. As Landstršm and Mason point out, the nature of venture capital has changed dramatically over the last ten years. The asset class as a whole has failed to return principal and the old model is under tremendous strain. The contributors nicely highlight many of these changes, especially how venture capital has scaled beyond the US. For those of us active in venture capital research, the chapters raise many interesting research questions that deserve further attention.Õ Ð Andrew Zacharakis, Babson College, US This Handbook charts the development of venture capital research in light of the global financial crisis, starting with an analysis of the current venture capital market and the changing nature of the business angel market. Looking at governance structures, the performance of venture capitalists in terms of investments, economic impact and human capital, and the geographical organization of business angels and venture capital global ÔhotspotsÕ, this book also analyses the current state of venture capital research and offers a roadmap for the future.

Book excerpt: Private Equity Accounting, Investor Reporting and Beyond takes the discussion around private equity accounting to the next level beyond the basic private equity accounting principles identifying areas of importance where things can go wrong and delving into the intimate details of the different sub-asset classes such as real estate funds, infrastructure funds, debt funds, mezzanine funds, fund-of-funds (FoF) and other Limited Partners (large institutional investors, pension funds, university endowments, etc). The book also adds a new perspective - the perspective of the Limited Partners (LPs) investing in private equity allowing the LPs to have a peek at the private equity kitchen and its processes where all the General Partner (GP) accounts, investor reports and capital statements are forged and provides them with essential tips on what to check in GP reports and what the pitfalls of LP accounting for PE investments are. Starting with the main changes in the private equity landscape, the impact of private equity structures on the accounting and reporting, the importance of allocations and allocation rules, the reasons of their existence and the impact on investor reports of getting them wrong, highlighting some neglected processes (e.g. rebalancing, partner transfers) and common mistakes to some essential guidance and best practice of carried interest modelling, The Advanced Guide reveals intimate secrets of these processes previously available only by learning from peers. The Advanced Guide also elaborates on various reporting frameworks (ILPA Quarterly Reporting Best Practice, IPEV Investor Reporting Guidelines) and additional layers of reporting (ESG Reporting) and their specifics. The chapter on private equity valuations provides some invaluable guidance on valuations for different types of instruments such us non-controlling interest, fund interests (for LPs), private loans, not-traded debt and other debt instruments and provides an update on some current discussions such as the unit of account and the use of mathematical models (e.g. Option Pricing Models, Probability-expected Weighted Return Models) in private equity. Performance measurement is also taken to a whole new level discussing not only traditional performance metrics such as IRR and multiples and revealing some major flaws in the IRR as a traditional metric used by private equity, but also suggesting some new advanced performance metrics used by the most sophisticated GPs and LPs. Drawing on extensive experience as a practitioner and instructor, Mariya Stefanova reviews all the details and processes that private equity firms and fund accountants should follow, identifying both current best practices and costly pitfalls to avoid. Replete with up-to-date, user-friendly examples from all main jurisdictions, this guide explains the precise workings and lifecycles of private equity funds; reviews commercial terms; compares structures and their current tax treatments; shows how to read Limited Partnership Agreements; and much more.
