Book excerpt: Abstract: In the first and second essays, I use economic models of relational contracting to assess the potential economic impact of proposed legislation that would require processors to pay termination damages to growers when contractual relationships are prematurely terminated. Asset specificity, ex post bargaining power on the part of processors, and an exogenous shock that undermines gains from trade are introduced into the models. In the first essay, I assume that processors and growers can initiate relational contracts based on some observable, but non-verifiable, performance measure. I conclude that under symmetric information about an exogenous shock, termination damages would not be distortionary and would not undermine processors' ability to design effective incentives. Therefore, termination damages do not affect growers' expected payoffs in optimal relational contracts. However, under asymmetric information about an exogenous shock, termination damages can either increase or reduce growers' expected payoffs. In the second essay, I assume that performance measures are subjective in the sense that the processor and grower may not necessarily agree on measured performance outcomes. I show that while contract termination is used as an incentive device, pay for performance is no longer used. Under symmetric information about an exogenous shock, government imposed termination damages would not be distortionary and would induce only a restructuring of the compensation plan. In the third essay, I present results from an experiment that investigates the existence and causes of self-serving bias and the effect of this bias on subjects' strategic behavior in a multi-period incomplete contracting game. The data shows that self-serving bias exists in the aggregate and is caused by substantial heterogeneity in subjects' responses to unenforceable contract terms. Self-serving bias has no significant direct effect on subjects' contract rejection decisions, but it does have a significant effect on the surplus generated from a contract conditioned on acceptance. My results suggest that economic factors, such as the history of payoffs, are more important direct causes of bargaining impasses than are psychological factors, such as self-serving bias, but that self-serving bias indirectly contributes to these impasses.

The measurement problem--the disparity of true and measured performances--is at the core of many failures in incentive systems. Informal contracting can be a potential solution since, unlike in formal contracting, it can utilize a lot of qualitative and informative signals. However, informal contracting must be self-enforced. Given this trade-off between informativeness and self-enforcement, I show that a new source of statistical information is economically valuable in informal con- tracting if and only if it is sufficiently informative that it refines the existing pass/fail criterion. I also find that a new information is more likely valuable, as the stock of existing information is large. This information theory has implications on the measurement problem, a puzzle of relative performance evaluation and human resources management. I also provide a methodological contribution. For tractable analysis, the first-order approach (FOA) should be employed. Existing FOA-justifying conditions (e.g. the Mirrlees-Rogerson condition) are so strong that the information ranking condition can be applied only to a small set of information structures. Instead, I find a weak FOA- justifying condition, which holds in many prominent examples (with multi- variate normal or some of univariate exponential family distributions). The second essay analyzes the effectiveness of managerial punishments in mitigating moral hazard problem of government bailouts. Government bailouts of systemically important financial or industrial firms are necessary ex-post but cause moral hazard ex-ante. A seemingly perfect solution to this time-inconsistency problem is saving a firm while punishing its manager. I show that this idea does not necessarily work if ownership and management are separated. In this case, the shareholder(s) of the firm has to motivate the manager by using incentive contracts. Managerial punishments (such as Obama's $500,000 bonus cap) could distort the incentive-contracting program. The shareholder's ability to motivate the manager could then be reduced and thereby moral hazard could be exacerbated depending on corporate governance structures and punishment measures, which means the likelihood of future bailouts increases. As an alternative, I discuss the effectiveness of shareholder punishments. The third essay analyzes how education affect workers' career-concerns. A person's life consists of two important stages: the first stage as a student and the second stage as a worker. In order to address how a person chooses an education-career path, I examine an integrated model of education and career-concerns. In the first part, I analyze the welfare effect of education. In Spence's job market signaling model, education as a sorting device improves efficiency by mitigating the lemon market problem. In my integrated model, by contrast, education as a sorting device can be detrimental to social welfare, as it eliminates the work incentive generated by career-concerns. In this regard, I suggest scholarship programs aimed at building human capital rather than sorting students. The second part provides a new perspective on education: education is job-risk hedging device (as well as human capital enhancing or sorting device). I show that highly risk-averse people take high education in order to hedge job-risk and pursue safe but medium-return work path. In contrast, lowly risk-averse people take low education, bear job-risk, and pursue high-risk high-return work path. This explains why some people finish college early and begin start-ups, whereas others take master's or Ph.D. degrees and find safe but stable jobs.

Book excerpt: When a contract is signed between two economic agents, it is likely to produce some effect on non-contracting, third parties and provide new information to the contracting parties. This thesis examines how such third party externality and newly generated information should affect the initial form of the contract. In the first essay, a headquarters of a firm designs a mechanism with which it extracts the division managers' superior information about the external market opportunities. The information allows the headquarters to provide optimal investment incentive to the managers and make efficient trading decisions. The essay provides a justification for a real-world headquarters, who delegates all the operating decisions to the division managers but maintains the ultimate authority within the firm. The second essay examines how a client would contract with her lawyer to provide best incentive to the lawyer and maximize her return from litigation. By providing different contingent shares based on settlement and judgment, she is able to provide better incentive without diluting her return from litigation. At the same time, when she has relatively poor bargaining leverage against the counter party, the essay shows that delegating the settlement authority to the lawyer and leaving him a large rent would be more beneficial for the client. The third essay analyzes the salary contracting problem faced by the owner of a firm who is aware of a potential opportunity to sell her firm in the future. The essay demonstrates that when the owner grants a large severance payment to the employee, she would be able to defer the compensation burden to the potential buyer and increase her net return from the firm.

The preceding three Sessions were held at Stubice Toplice, in Yugoslavia (1974), Zeist, in the Netherlands (1976) and, again in Yugoslavia, at Opatija (1978). The fourth Session was originally planned for May 1980. On the eve of the meeting, the then President of the Socialist Federal Republic of Yugoslavia, the late Marshall J .B. Tito, passed away. On hearing the news of the Marshall's death, the Organizing Committee of the Hague-Zagreb Colloquium immediately decided that the Session should not then be held. The postponement lasted, in fact, a whole year: the fourth Session was convened at Eernewoude in May 1981. For the Eernewoude Session the formula that had produced such excellent results in the previous conferences was maintained. Four topics of international trade law were thoroughly discussed on the basis of reports submitted by scholars from the various legal systems represented at the conference. Apart from the Yugoslav and Dutch participants, scholars from the United Kingdom, the Federal Republic of Germany, Belgium and Norway took part in the discussions, be it in the capacity of reporter, of chairman or as expert in the field covered by the Colloquium: the law of international trade. A student competition had again been organised and the members of the win ning teams from Yugoslavia and from the Netherlands were among the participants.
