Available in PDF, EPUB and Kindle. Book excerpt: A comprehensive revision of the edition published in 1984, Corporate Trust Administration and Management, Fourth Edition is a completely up-to-date reference on the current practices and processes in the corporate trust function of financial service institutions, and on the emergent trends in trustee and related agency activities and responsibilities. Robert Landau thoroughly examines and analyzes the duties and responsibilities of the indenture trustee in connection with debt financing instruments of corporate and municipal entities, the administration of the indenture contract or other agreement under which the securities are issued, and the procedures and practices incident to the servicing of the debt securities. This edition incorporates the major developments and dramatic changes in capital markets that have occurred since 1984, including enactment of the Trust Indenture Reform Act of 1990 and SEC Rule 144A. Detailed in this volume are the dramatic increases in the securitization of assets and the use of asset-backed collateral and credit-enhanced financings, and the potential effect of significantly increased secondary market disclosure on trustees. Landau also discusses the emergent problems surrounding the payment of indenture trustee's fees in bankruptcy proceedings, as well as the increasing trend toward the immobilization of securities certificates and the relevant judicial decisions significantly affecting the liability of corporate trustees. Covered in this book are the three principle areas of account administration: indenture contracts, indenture defaults, and all subsequent actions, difficulties, and resolutions. This edition also addresses the management function of a corporate trust department including planning, organization and structure, training and development, and performance planning and evaluation. A separate reference section includes the complete text of the Trust Indenture Act of 1939, as amended by the Trust Indenture Reform Act of 1990, an expanded set of useful forms, check sheets and sample documents, a bibliography of selected reading and reference material, and an extensive glossary of securities industry words and terms. Corporate Trust Administration and Management is not only an excellent study of corporate trust matters but a very useful reference guide, as it deals on a highly practical basis with the problems a financial services institution acting in a trustee or agency capacity is likely to face, and clearly outlines the rights and responsibilities of the trustee, the agent, and the issuer and holder of debt securities. This essential book continues to be the basic textbook and reference work for practitioners in the corporate trust field and those involved in securities industry matters.

Book excerpt: A ground-breaking exploration of the changing nature of trust and how to bridge the gap from where you are to where you need to be. Trust is the most powerful force underlying the success of every business. Yet it can be shattered in an instant, with a devastating impact on a company’s market cap and reputation. How to build and sustain trust requires fresh insight into why customers, employees, community members, and investors decide whether an organization can be trusted. Based on two decades of research and illustrated through vivid storytelling, Sandra J. Sucher and Shalene Gupta examine the economic impact of trust and the science behind it, and conclusively prove that trust is built from the inside out. Trust emerges from a company being the “real deal”: creating products and services that work, having good intentions, treating people fairly, and taking responsibility for all the impacts an organization creates, whether intended or not. When trust is in the room, great things can happen. Sucher and Gupta’s innovative foundation for executing the elements of trust—competence, motives, means, impact—explains how trust can be woven into the day-to-day and the long term. Most importantly, even when lost, trust can be regained, as illustrated through their accounts of companies across the globe that pull themselves out of scandal and corruption by rebuilding the vital elements of trust.

Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from The Modern Trust Company: Its Functions and Organization To a correspondent asking, "What book or books will best give me a working knowledge of trust company and banking methods; particularly regarding the work of the various departments of the trust companies?" the New York Evening Post recently replied that so far as it was aware no such book had been published. A search in library catalogues confirms the almost equally discouraging statement of the Chief Bibliographer of the Library of Congress that "there is not much literature on trust companies appearing in separate book form." On the other hand, much has been written about the functions, organization, and methods of the banks. The reason is easily given. The development of the "trust company idea" is a recent one, and only within the past twenty years have these corporations become a prominent factor in the financial world. Until the organization of the Trust Company Section of the American Bankers Association in 1896, the only publications in reference to trust companies were short chapters in works on banking and an occasional magazine article. Since that time the transactions of the Trust Company Section and articles in banking periodicals and the financial press have constituted the most important contributions to the subject; but in spite of all that has been written on special lines of trust company work, it is still difficult to obtain a general knowledge of what a trust company is and how it does its business. The aim of the present volume is to describe the functions and organization of the trust company as it exists in the United States to-day.
