Book excerpt: The Enlightened Shareholder Value principle and Corporate Social Responsibility are areas of increasing academic and research interest. However, discussions on the ESV principle in relation to CSR are very limited. This book provides a critical analysis of the impact of the concept of ESV, embedded in the Companies Act 2006, on CSR and explores the scope for reform. Along with analysing existing empirical research, it presents the findings of an empirical study conducted to determine whether the concept of ESV is capable of promoting or assisting CSR. The book also examines whether implementing an ESV approach has had any impact on the CSR practices of multinational corporations that originate in the UK and operate in developing nations, as in order to assess whether the ESV principle links to CSR both its domestic and international impact need to be considered. This analysis was undertaken through the lens of a case study on the ready-made garment industry in Bangladesh, with some focus on the Rana Plaza factory disaster. This study also assists in demonstrating the changes that need to be made to improve the current situation. Lastly, the book addresses the need for reform in the area and provides possible suggestions for reform. This interdisciplinary book will be of great interest to students and scholars of corporate law, corporate governance and business studies in general as well as policymakers, NGOs and government departments in many countries around the world working in the fields of CSR, sustainability and global supply chains.

Andrew Keay traces the development of the principle of ESV and examines it in the context of existing principles which have influenced corporate governance. The book analyses the UK legislation that delivers the principle in corporate law and ESV is compared to the constituency statutes that apply in the US in order to determine can whether anything can be learned from the American experience with these statutes. Finally the book considers whether ESV will mean a less short-termist approach by financial institutions and non-financial institutions after the global financial crisis.

We argue that long-term investors can ensure that managers choose the amount of CSR that maximizes shareholder value. We find that long-term investors do increase the value to shareholders of CSR activities, not through higher cash flow but rather through lower cash flow risk. Following prior work, we use indexing by investors and state laws on stakeholder orientation for identification. Our findings suggest that CSR activities can create shareholder value as long as managers are properly monitored by long-term investors.

Book excerpt: This book highlights the multi-faceted nature of corporate social responsibility and the need for greater engagement across academia to help develop the mechanisms needed to encourage socially responsible approaches across the board. The product of a cross-disciplinary collaboration of authors from various academic disciplines, the book reflects the emergent diversity of academics now studying corporate social responsibility (CSR). Accordingly, it includes contributions from economists to social anthropologists, from accountants to philosophers, and from clinical psychologists to social geographers. Together they provide new insights into aspects that challenge, hinder and enable CSR practitioners and corporations with regard to their financial impact and accountability, governance and supply chains. The book is divided into four parts focusing on the practical, sociological, theoretical and environmental aspects of corporate social responsibility.

Available in PDF, EPUB and Kindle. Book excerpt: What is the objective or purpose of business Management? According to the dominant theory of contemporary financial management scholarship, agency theory, business managers are obligated to maximise owner or shareholder value. According to most theories of business ethics, however, some owner-value-maximising actions should not be performed, because they would be unethical. Because business management scholars and business ethics scholars have not resolved this contradiction, students of commerce receive a contradictory education. The twenty-five essays in this interdisciplinary, international volume address the question of the objective or purpose of business management from a wide range of theoretical perspectives. Since some of the writers contradict one another, it is not possible that all of them are correct. Nevertheless, the fact that many of them argue persuasively that business managers should aspire to more than maximisation of a financial variable challenges everyone with a theoretical or practical interest in commerce to reconsider acceptance of the owner-value paradigm and to develop a richer conception of the profession of business management.

Book excerpt: Rising defaults in the financial market in 2007, the current widespread economic recession and debt crisis have added impetus to existing doubts about companies’ governance, and cast new light on future trends in shareholder-oriented corporate practice. Taking account of these developments in the field and realising the current need for changes in governance, this book offers a thorough exploration of the origins, recent changes and future development of the corporate objective—shareholder primacy. Legal and theoretical aspects are examined so as to provide a comprehensive and critical account of the practices reflecting shareholder primacy in the UK. In the wake of the financial crisis, this book investigates the direction of future policy, with particular attention to changes in governing rules and regulations and their implications for preserving the objective of shareholder primacy. It examines current UK and EU reform proposals calling for long-term and socially-responsible corporate performance, and the potential friction between proposed legal changes and commercial practices. This book will be useful to researchers and students of company law, and business and management studies.

Available in PDF, EPUB and Kindle. Book excerpt: In recent years, the longstanding debate between shareholder-oriented and stakeholder-oriented models of corporate governance for large listed, or "public" corporations, has experienced a resurgence. Simultaneously, a wave of new regulations has reshaped the legal landscape, compelling businesses to integrate public objectives - such as environmental protection or the social interests of specific stakeholder groups - into their decision-making processes, which were traditionally driven solely by profitability considerations. Against this background, the book brings together economic, comparative, historical, and doctrinal perspectives of scholars from US and European legal academia. The ongoing discourse regarding the fundamental role of public corporations in economies and society is vivid and rather different, across Europe, and the US. Filling a gap in comparative literature on these themes, this volume further explores commonalities across these varying legal landscapes, while remaining cognizant of distinct, cultural, legal, and economic contexts. Most strikingly, the contributions here point to the European emphasis on stakeholder-oriented regulation, in contrast to the US-American focus on shareholder value. Providing a comprehensive analysis of recent legal developments in this space, this volume serves as an essential theoretical guide to debates around corporate purpose, CSR, and ESG today.
