The UNIDROIT Principles of International Commercial Contacts, published in 1994, were an entirely new approach to international contract law. They are widely recognized now as a balanced set of rules designed for use throughout the world irrespective of the legal traditions and the economic and political conditions of the countries in which they are applied.

Book excerpt: "The UNIDROIT principles of international commercial contracts provide a...tool for cross-border contracts restating an international understanding of global contract law. They can be chosen as a neutral and pragmatic business oriented contractual regime for cross-border contracts, developed under the auspices and finally approved by the intergovernmental organization UNIDROIT (Rome). They contain over 50 solutions to typical contractual questions constituting compromises between civil and common law. The United Nations Commission on International Trade Law has endorsed their use 'as appropriate, for their intended purposes.' The commentary analyses the UNIDROIT principles article by article from a practical perspective, while always discussing alternative courses of action, where they apply."--

Book excerpt: The Unidroit Principles are a restatement of the law applicable to international commercial contracts that have been developed on the basis of an innovative comparison of the leading contract laws. As such, their authority rests on the standing of UNIDROIT, the institution responsible for their preparation, and on the quality of the rules they propose. This book provides a comprehensive in-depth analysis of the foundations of, and justifications for, an application of the Unidroit Principles. Its conclusion–that the Unidroit Principles may constitute a true governing law to be recognized by arbitral tribunals and domestic courts alike–will further contribute to the worldwide success of the Unidroit Principles.

This book was released on 2001-11-29 with total page 414 pages. Available in PDF, EPUB and Kindle. Book excerpt: In the law of contracts, the term `internationalization' has come to mean the removal of transactions from any nation's legal standards, system of dispute resolution, or commercial practices. The trend has picked up speed in recent years, to the point where many business people want their contracts `internationalized' as a matter of course. This convenient volume contains the heart of the matter. It focuses on the essential elements that make a contract `international' in the new sense, and the interrelationships between those elements, rather than on the constantly changing mass of attendant detail. To clarify such an understanding of `internationalization,' the author describes and analyzes various aspects of international contract law regimes, including: The United Nations Convention on Contracts for the International Sale of Goods (CISG); The UNIDROIT Principles; CISG and UNIDROIT Jurisprudence; The lex mercatoria and other international, regional, and national contract law principles. A final chapter deals exclusively with practical applications--when to and when not to `internationalize' a contract, how to plan for effectiveness and the best advantage, and selecting appropriate and consistent devices for `internationalization.'

If you wish to purchase this book and do not live in these areas, please contact Unidroit directly. This book comprises a set of principles embodying what are perceived to be the best solutions to the needs of international commercial transactions specifically designed for use throughout the world irrespective of the legal traditions and the economic and political conditions of the countries in which they are to be applied. Each principle is followed by comment and illustration and is sufficiently flexible to take account of the constantly changing circumstances brought about by the technological and economic developments affecting cross-border trade practice. At the same time, they attempt to ensure fairness in international commercial relations by expressly stating the general duty of the parties to act in accordance with good faith and fair dealing and, in a number of specific instances, by imposing standards of reasonable behaviour. In April 2004 the Governing Council of UNIDROIT unanimously adopted the new edition of the UNIDROIT Principles of International Commercial Contracts. UNIDROIT Principles 2004 replaces the 1994 edition and contains 5 new chapters (Authority of Agents; Third Party Rights; Set-off; Assignment of Rights, Transfer of Obligations and Assignment of Contracts; Limitation Periods) as well as an expanded Preamble and new provisions on Inconsistent Behaviour and on Release by Agreement. Moreover wherever appropriate the 1994 edition of the Principles was adapted to meet the needs of electronic contracting.Prof M J Bonell explains the changes in the new edition in an article published in Uniform Law Review 2004 (pp 5-40). This article is available as a free downloadable PDF file (see Supplements below).

Book excerpt: The UNIDROIT Principles of International Commercial Contracts, published in 1994 after years of intensive study by a special Working Group composed of representatives of all the major legal systems of the world, already encounter an extraordinary success in practice. In this volume twenty-one leading experts from all over the world examine the UNIDROIT Principles from the perspective of their respective countries, focusing, among others, on the similarities and differences between the UNIDROIT Principles and domestic law, and the use of the UNIDROIT Principles in actual practice (contract negotiation, arbitration proceedings, model for law reform projects, etc.). These national reports are critically analysed in the General Report by Professor M.J. Bonell, Chairman of the Working Group for the preparation of the UNIDROIT Principles.

This book was released on 2007-01-29 with total page 242 pages. Available in PDF, EPUB and Kindle. Book excerpt: The ALI (American Law Institute) and UNIDROIT (the International Institute for the Unification of Private Law) are preeminent organizations working together toward the clarification and advancement of the procedural rules of law. Recognizing the need for a “universal” set of procedures that would transcend national jurisdictional rules and facilitate the resolution of disputes arising from transnational commercial transactions, Principles of Transnational Civil Procedure was launched to create a set of procedural rules and principles that would be adopted globally. This work strives to reduce uncertainty for parties that must litigate in unfamiliar surroundings and to promote fairness in judicial proceedings. As recognized standards of civil justice, Principles of Transnational Civil Procedure can be used in judicial proceedings as well as in arbitration. The result is a work that significantly contributes to the promotion of a universal rule of procedural law. The American Law Institute was organized in 1923 following a study conducted by a group of prominent American judges, lawyers, and law professors. Their recommendation that a lawyers' organization be formed to improve the law and its administration led to the creation of The American Law Institute. UNIDROIT was founded in 1926 as a specialized agency of the League of Nations. It exists as an independent intergovernmental organization on the basis of a multilateral agreement, the UNIDROIT Statute. Its purpose is to study needs and methods for modernizing, harmonizing, and coordinating private laws between states and groups of states and to prepare legislative texts for consideration by governments.
