Book excerpt: Quarterly earnings conference calls convey fundamental information, as well as manager and analyst opinion about the firm. We examine how market uncertainty regarding firm valuation is affected by conference call tones. Using textual analysis of all publicly available earnings calls (2002-2012) for U.S. firms, we find measures of conference call tones are negatively related to measures of firm value uncertainty from the equity options market. Overall, while value uncertainty is more sensitive to analyst tones than manager tones, differences between analyst and manager tones are strongly associated with increases in value uncertainty. Tone spreads convey important signals to market participants.

"Tone surprise" -- the residual when negativity in managerial tone is regressed on the firm's recent economic performance and CEO fixed effects -- predicts future earnings and analyst uncertainty. Prices move more, as hypothesized, in firms where tone surprise predicts more strongly. Experienced analysts respond appropriately in revising their forecasts; inexperienced analysts overreact (underreact) to tone surprises in presentations (answers). Post-call price drift, like post-earnings announcement drift, suggests less-than-full-use of information embedded in managerial tone.

We find a more pronounced negative share price response to negative earnings guidance and a lower likelihood that management issues negative guidance under conditions of greater market uncertainty. Yet, we also find that the share price response to positive guidance is not related to the level of market uncertainty, while the likelihood of issuing positive guidance decreases with market uncertainty. The asymmetric effects of market uncertainty on earnings guidance perception and behavior support the ambiguity based pricing theories.

Using U.S. public firm earnings conference call transcripts from 2010 to 2015, we find that firms exhibiting more pessimistic tone during the current year-end call experience higher stock price crash risk in the coming year. Additional analyses suggest managerial truthful disclosure as a possible explanation underlying the predictability of conference call tone. Our results shed light on the long-term information role of the tone of corporate voluntary disclosure by exploring the setting of extreme future downside risk where managers may have incentives to communicate truthfully and disclose bad news.

Book excerpt: We leverages computational linguistics to determine how the narrative content of earnings conference calls influences investors' uncertainty about a firm's future valuation. By applying statistical topic modeling to a corpus of 18,254 conference calls, we extract topics and tones from both analyst questions and executive responses. Our findings show that incorporating the estimated topics significantly increases the explained variance of implied volatility changes of equity options. Furthermore, our approach enables us to disentangle the overall effect into tone and topic effects, with executive statements' topics having the largest net effect, while tones from analyst statements are particularly relevant for pricing call options.
