Book excerpt: Despite substantial scholarly interest in the role of contracts in alliances, few studies have analyzed the mechanisms and conditions relevant to their influence on alliance performance. In this paper, we build on the information-processing view of the firm to study contracts as framing devices. We suggest that the effects of contracts depend on the types of provisions included and differentiate between the consequences of control and coordination provisions. Specifically, control provisions will increase the level of conflict between alliance partners whereas coordination provisions will decrease such conflict. Conflict, in turn, reduces alliance performance, suggesting a mediated relationship between alliance contracts and performance. We also contribute to a better understanding of contextual influences on the consequences of contracts and investigate the interactions of each contractual function with both internal and external uncertainties. Key informant survey data on 171 alliances largely support our conceptual model.

Set of propositions and models are suggested mainly based on the various levels of uncertainty prevailing in the industry. Overall, we model that in mature stages of the industry principals are better off by offering the contract where agents receive a fixed payment (i.e. the first best solution).Whereas in growth stages agents get fixed payments with additional performance pay (i.e. the second best solution). In both cases the principals get the residual outcome.

We formally model how contracts trade off productive and destructive uses of knowledge in a buyer-supplier relationship. We show that, when the buyer's pre-existing resources are vulnerable to the revelation of sensitive knowledge, the supplier overinvests in knowledge acquisition as it expects to use the knowledge as a threat in price negotiations. A non-renegotiable closed-price contract prevents such overinvestment and reduces the supplier's ability to expropriate the buyer ex post. Our results extend to the cases of renegotiable closed-price contracts, repeat interactions between a buyer and a supplier, and the use of non-disclosure policies. We draw theoretical, empirical, and managerial implications from our model.

Book excerpt: The alliance paradox identified by Kale & Singh (2009), namely the fact that modern organizations engage in a rising number of strategic alliances in spite of the high failure ratio of such collaborations, has driven a significant body of knowledge focusing on elucidating the impact of strategic alliance on firm performance, especially on abnormal returns. In an event study of 338 alliance announcements made in the pharmaceutical industry between 2003 and 2012, this thesis investigates the stock market reaction to strategic alliance announcements, through considering different aspects of alliance experience as well as accounting for alliance type and internationality. Consistent with previous research, we find strategic alliances to induce significant positive abnormal returns in the pharmaceutical industry. Furthermore, we find previous partner experience to positively impact the stock market reaction. In contrast, industry experience, dyadic and multi-partner experience as well as a dedicated alliance function are identified to be insignificantly related to abnormal returns. Furthermore, the results also suggest an insignificant impact of the presence of an international partner on alliance performance. Finally, we find no differences in the stock market response between R&D, marketing or manufacturing alliances.

Book excerpt: Drawing on the organizational learning literature, we study the effect of alliance experience on alliance performance. We differentiate between firm-level general alliance experience obtained from alliances across a diverse set of partners and dyad-level partner-specific alliance experience accumulated through repeated interactions with the same partner. We posit that general and partner-specific alliance experience contribute to alliance performance but at a declining rate. We test our hypotheses using a unique dataset that captures objective alliance performance at the project level between large pharmaceutical firms that are attempting to leverage the new biotechnology, and their partner organizations. We find that the general alliance experience of the biotechnology partner, but not the pharmaceutical firm, has a positive effect on joint project level performance. This relationship appears to exhibit diminishing marginal returns. Contrary to predictions, we find a negative, marginally significant effect of partner-specific experience on joint project-level performance.
