Les échanges financiers intragroupes, et l'allocation des fonds entre les filiales conditionnent l'émergence d'un marché interne de capital. L'utilisation de la dette intragroupe diminue le degré de contraintes financières et accroît la capacité d'endettement externe des filiales. Cependant, les transferts de fonds favorisent les filiales les moins rentables, qui reçoivent plus de ressources et investissent plus que les entités performantes. L'inefficience des marchés internes de capitaux résulte de l'existence de plusieurs niveaux hiérarchiques (filiales et société mère), et de deux classes d'actionnaires (majoritaires et minoritaires).
