Book excerpt: Dans cette thèse nous revenons sur un modèle d'entreprise pharmaceutiques apparu dans la fin des années 90 aux Etats-Unis qui est celui des entreprises spécialisées dans l'acquisitions et l'optimisation des molécules matures. Les molécules matures sont définies comme des produits pharmaceutiques continuant d'être exploitées commercialement de nombreuses années après la perte de leur brevet. Ce modèle d'entreprise a connu une phase d'hyper-croissance au cours des dernières années, avec à la fois une multiplication des acteurs, et une augmentation importante de leur taille. L'expansion rapide de ce secteur a entraîné une augmentation de la compétitivité, se traduisant par une avidité accrue d'acquisitions des molécules matures, remettant en question la pérennité de ce modèle d'entreprise. Pour trouver les solutions aux évolutions récentes du marché, une analyse des choix stratégiques pris par les entreprises opérantes ou ayant opéré dans ce secteur a été réalisée. Trois modèles d'entreprises distincts ont été identifiés. Chacune de ces options stratégiques a été évalué suivant des critères définis afin de sélectionner la plus intéressante pour une entreprise spécialisée dans les molécules matures. Il apparait que l'option stratégique optimale consiste à entamer un virage vers l'innovation, en réalisant l'acquisition de molécules de plus en plus tôt dans le cycle de vie du médicament. En effet, cela permet à l'entreprise de réduire son exposition au risque du secteur, de maximiser son potentiel de croissance et d'augmenter sa valorisation.

Le choix des cibles apparaît étroitement lié à leurs performances en matière de dépôts de brevets pionniers. Le dernier chapitre montre que ces opérations ont permis aux acquéreurs d'accroître leurs performances à l'innovation dans le domaine des biotechnologies : les années suivant ces opérations, les acquéreurs accroissent plus rapidement que les non-acquéreurs la proportion de brevets biotechnologiques pionniers dans leur portefeuille de brevets.
