Book excerpt: Nonostante una legislazione che mira al chiaro intento di ridurre il numero delle società partecipate dalla Pubblica Amministrazione, il fenomeno è ancora molto presente in Italia, sia in termini assoluti che di valore economico creato. A questa pervasività nell’ambiente economico nazionale non sembra corrispondere un’elaborazione adeguata, per quantità e qualità, da parte della letteratura. Il volume si propone, pertanto, di colmare questo gap della dottrina economico-aziendale contribuendo a un’analisi sistematica dei vincoli di origine normativo-istituzionale che si intersecano con l’agire delle società pubbliche: a tale scopo viene anzitutto approfondito il concetto stesso di servizio pubblico locale e di società a partecipazione pubblica, anche mediante il ricorso a un excursus storico. Successivamente le principali teorie d’azienda vengono analizzate nella prospettiva delle società pubbliche, al fine di individuare quelle più coerenti con il progetto di ricerca, e analogo percorso viene seguito per le caratteristiche distintive di ogni entità aziendale. Dopo un’ampia ricostruzione dei vincoli sulle società a partecipazione pubbliche, dedicando un dovuto approfondimento ad alcuni aspetti di particolare rilevanza (i riflessi contabili, la crisi d’impresa, l’in house providing), si ipotizzano possibili strategie che, armonizzandosi con il sistema vincolistico se non utilizzandolo come leva per la crescita, potrebbero contribuire al buon andamento e al going concern delle società pubbliche, e quindi anche a colmare almeno in parte il gap suddetto.
