Book excerpt: A difficulty besetting the Chinese courts in the recent decade is how to resolve disputes over a company's liability under an unauthorized contract that gives a security. The number of this category of disputes has increased significantly after the enactment of art 16 of the PRC Company Law in 2005, which, for the first time, confirms that the company has the capacity to act as surety. A difficulty in resolving art 16 disputes is the lack, or the disorganized form, of the requisite legal infrastructure. This paper makes an attempt to discover the ways in which the courts have resolved the disputes arising from art 16 and considers the optimal way of resolving this type of disputes under the existing legal framework. It finds that the courts tend to allocate the risks for unauthorised corporate contracts to the alleged surety. It argues that the law should aim to provide a balanced protection to both the alleged surety and the creditor and that, as confirmed by an analysis of the ways in which the same issue is resolved in Japan and Taiwan, that aim is best achieved through an agency rule approach.
