It takes a unique approach to the subject, which also encompasses the important and growing fields of securities regulation, corporate governance and corporate social responsibility. This book covers all of the key topics that a student reader will encounter in any company law course. The discussion presents the key principles simply, before guiding the reader through the more complex issues that are often the focus of examinations in this subject. It also offers pathways into further reading, while injecting enjoyment back into the topic. In Understanding Company Law, Professor Hudson provides a straightforward guide to the law, while providing context, detailed analyses of the leading cases, and no little humour. The second edition covers key recent changes and developments in company law, both case law and statutory, including: two recent Supreme Court decisions on piercing the corporate veil, VTB Capital plc v Nutritek International Corp and others and Prest v Petrodel Resources Limited & Others, and an analysis of the Conservative government’s Green Paper on Corporate Governance. Book excerpt: "The second edition of this popular book on company law combines theoretical and jurisprudential issues with an up-to-date account of legal developments across the field of company law. The author demonstrates that the needs of shareholders in companies which have dispersed ownership of shares cannot be properly understood without an analysis of the law relating to securities regulation and capital markets." "Company Law is essential reading for LL.B. courses in universities and also covers the requirements of the University of London (External) LL.B. The book offers excellent foundation reading for postgraduate LL.M.s in company and capital markets law and is an excellent critical survey of a dynamic field of law for students qualifying professionally in the fields of accounting, finance and company secretaryship."--BOOK JACKET.

This book was released on 2009-01-01 with total page 594 pages. Available in PDF, EPUB and Kindle. Book excerpt: No one doubts any longer that sustainable development is a normative imperative. Yet there is unmistakably a great reluctance to acknowledge any legal basis upon which companies are obliged to forgo 'shareholder value' when such a policy clearly dilutes responsibility for company action in the face of continuing environmental degradation. Here is a book that boldly says: 'Shareholder primacy' is wrong. Such a narrow, short-term focus, the author shows, works against the achievement of the overarching societal goals of European law itself. The core role of EU company and securities law is to promote economic development, notably through the facilitation of market integration, while its contributory role is to further sustainable development through facilitation of the integration of economic and social development and environmental protection. There is a clear legal basis in European law to overturn the poorly substantiated theory of a 'market for corporate control' as a theoretical and ideological basis when enacting company law. With rigorous and persuasive research and analysis, this book demonstrates that: European companies should have legal obligations beyond the maximization of profit for shareholders; human and environmental interests may and should be engaged with in the realm of company law; and company law has a crucial role in furthering sustainable development. As a test case, the author offers an in-depth analysis of the Takeover Directive, showing that it neither promotes economic development nor furthers the integration of the economic, social and environmental interests that the principle of sustainable development requires. This book goes to the very core of the ongoing debate on the function and future of European company law. Surprisingly, it does not make an argument in favour of changing EU law, but shows that we can take a great leap forward from where we are. For this powerful insight - and the innumerable recognitions that support it - this book is a timely and exciting new resource for lawyers and academics in 'both camps' those on the activist side of the issue, and those with company or official policymaking responsibilities.

Book excerpt: The term corporate law refers to the laws relating to corporations and their business activities in general. In the New Zealand context this includes the life-cycle of a corporation under the Companies Act 1993 and the effect of other regulatory frameworks such as the Receiverships Act 1993, the Takeovers Act 1993 and the Financial Markets Conduct Act 2013. Corporate Law in New Zealand is a modern, fresh analysis of corporate law in New Zealand that places New Zealand corporations in their historical, current and international context. Key chapters include the impact of the theory of the company on New Zealand corporate law, the nature of corporate enterprise in New Zealand, Maori/iwi companies, directors duties, shareholders rights, corporate financing, corporate insolvency, relevant financial markets law, and takeovers, amalgamations and arrangements. Selected content is drawn from the Company and Securities Law in New Zealand treatise and has been updated, reworked and significantly expanded to embrace developments in company and corporate law.

Book excerpt: This anthology of recent scholarship on corporate governance has been extensively revised and updated. It explores the application of legal doctrine and theory to topical policy issues such as corporate social responsibility, executive compensation, corporate criminality, federalism, and ethical rules for corporate lawyers. It contains materials on recent developments, including the 2008 financial collapse. The book puts into current context long-running debates on fundamental corporate law issues, such as shareholders' ownership of the corporation, director independence, and management's focus on maximizing share price. The new edition contains a new chapter on creditors and bankruptcy. The book is organized around policy issues rather than the doctrinal areas of the basic law school course. It presents diverse views on each issue through various approaches to analyzing corporate law and incorporating doctrine, law and economics, empirical work; history; and organizational behavior. The book is designed for use as the primary text in a course or seminar in corporate governance, but could also serve as supplemental reading in the basic law school corporations course. It includes questions for classroom discussion or self-directed study. The edited selections are generally longer than in a standard law anthology in order to provide a deeper treatment of the issues.
