Book excerpt: The objective of this paper is to demonstrate how the boosting approach can be used to quantify the corporate governance risk in the case of Latin American markets. We compare our results using Adaboost with logistic regression, bagging, and random forests. We conduct tenfold cross-validation experiments on one sample of Latin American Depository Receipts (ADRs), and on another sample of Latin American banks. We find that if the dataset is uniform (similar types of companies and same source of information), as is the case with the Latin American ADRs dataset, the results of Adaboost are similar to the results of bagging and random forests. Only when the dataset shows significant non-uniformity does bagging improve the results. Additionally, the uniformity of the dataset affects the interpretability of the results. Using Adaboost, we were able to select an alternating decision tree (ADT) that explained the relationship between the corporate variables that determined performance and efficiency.

Book excerpt: Poor corporate governance can damage the interests of shareholders, and may lead to company collapse. Previous studies in credit risk prediction provide no consensus as to which and how corporate governance variables determine bankruptcy. This paper is the first to apply a discrete time hazard model and a wide selection of 35 corporate governance measures including board composition, ownership structure, management compensation, and director and manager characteristics in predicting corporate credit risk by using a panel dataset of ten years for 1688 companies. We find that state control, institutional ownership, salaries of independent directors, the Chair's age, the CEO's education, the work location of independent directors and concurrent CEO positions have significant associations with the risk of financial distress. Governance measures, financial ratios and macroeconomic variables provide the best predictive accuracy. Policy implications are particularly suggested that regulations regarding State-Owned Enterprises and independent directors should be specially focused.

We find that regulatory factors are highly important, largely because Korean rules impose special governance requirements on large firms (assets amp;gt; 2 trillion won). Industry factors, firm size, and firm risk are also important. Other firm-specific factors only modestly affect governance even when they are statistically significant. This suggests that many Korean firms do not choose their governance to maximize share price. Among firmspecific factors, the most significant are size (larger firms are better governed) and firm risk (riskier firms are better governed). Long-term averages of profitability and equity finance need are significant, where short-term averages are not. This is consistent with ldquo;sticky governance,rdquo; in which firms alter their governance slowly in response to economic factors.
