Book excerpt: Occupational pensions are major participants in global financial markets with assets of well over $30 trillion, representing more than 40% of the assets of institutional investors. Some occupational pension funds control assets of over $400 billion, and the largest 300 occupational pension funds each have average assets of over $50 billion. The assets of UK pension funds are equivalent to UK GDP, and US pension fund assets are 83% of US GDP. These statistics highlight the importance of pension funds as major players in financial markets, and the need to understand the behaviour of these large institutional investors. Occupational pensions also play an important, but neglected, role in corporate finance. For example, US company pension schemes account for over 60% of company market value, and yet they are often ignored when analysing companies. This book is based on the substantial body of evidence available from around the world on a topic that has become increasingly important and controversial in recent years. Written for practitioners, students and academics, this book brings together and systematizes a very large international literature from financial economists, actuaries, practitioners, professional organizations, official documents and reports. The underlying focus is the application of the principles of financial economics to occupational pensions, including the work of Nobel laureates such as Merton, Markowitz, Modigliani, Miller and Sharpe, as well as Black. This book will give readers an up-to-date understanding of occupational pensions, the economic issues they face, and some suggestions of how these issues can be tackled. The first section explains the operation of defined benefit and defined contribution pensions, along with some descriptive statistics. The second section covers selected aspects of occupational pensions. The focus of these first two sections is on the economic and financial aspects of pensions, accompanied by some basic information on how they operate. This is followed by three further sections that analyse the investment of pension funds, the corporate finance implications of firms providing pensions for their employees, and annuities.

In the event of a vote for independence, there would be further consequences for the financial sector and for its customers which are analysed in the current paper. The most profound implication is that independence would create two separate financial jurisdictions: the continuing UK and a new, independent Scotland, which would require its own legal and regulatory framework. The competitiveness of Scotland's financial sector is aided by its location within the UK. Industry and international bodies view the UK as a strong tax and regulatory regime, building customers' and partner organisations' trust in UK financial firms. Being part of the UK helps support the Scottish financial services sector, which generates employment not just in financial services firms, but in the professional and other services that support the sector. Location in a larger economy also helps to reduce firms' cost of borrowing because markets perceive these firms as less of a risk. If Scotland became independent, this position would be called into question: The Scottish banking sector would be exceptionally large compared to the size of an independent Scotland's economy, making it more vulnerable to financial shocks than it is as part of the larger UK. There could be questions about an independent Scotland's ability to stabilise its banking system in the event of a future financial crisis

Meta studies of published research show that the supposed benign effects of these measures - independent directors or highly incentivised executives - are at best context-specific. There is thus a challenge to explain the meaning, purpose, and importance of corporate governance. This volume addresses these issues. The issues discussed centre on relationships within the firm e.g. between labour, managers, and investors, and relationships outside the firm that affect consumers or the environment. The essays in this collection are the considered selection by the editors and the contributors themselves of what are seen as some of the most weighty and urgent issues that connect the corporation and society at large in developed economies with established property rights. The essays are to be read in dialogue with each other, giving a richer understanding than could be obtained by shepherding all contributions into a single mould. The Pensions Regulator was established in April 2005 to regulate these schemes, replacing the Occupational Pensions Regulatory Authority (Opra), with the statutory objectives to protect members' benefits, to promote improved governance of such schemes, and to reduce the risk of compensation being paid out by the Pension Protection Fund. This NAO report examines the regulatory approach taken and whether this addresses the key risks, given that any conclusions on the effectiveness of pensions regulation must be set in the long term context rather than based on shorter term fluctuations. Findings include that the Pensions Regulator has made good progress in establishing a sound risk-based approach to regulation, with clear links between its statutory objectives and its operational approach. As the regulator matures, it has the scope for a presumption of further transparency in its approach, and is taking steps to increase the information it makes available to the pensions sector. The report sets out a number of recommendations for further progress, bearing in mind that risks in the pensions environment can change quickly.
