Book excerpt: Diante da argumentação atual pela não incidência de ICMS sobre licenças de uso de software, o objetivo desta obra foi investigar o perfil de incidência do imposto, analisando seus pressupostos para confrontá-los com essa concepção. Para isso, foi necessária uma investigação histórica da implementação do ICM no sistema tributário, bem como do conceito de mercadoria no direito comercial, aliado à investigação da natureza jurídica do software, para fins de demonstrar que o produto não se confunde com a propriedade intelectual, evidenciando que o objeto do negócio jurídico é a mercadoria, o software-produto, e não o direito autoral. Com isso, detectou-se a diferença entre produto e propriedade intelectual e constatou-se que o perfil de incidência do imposto é gravar todas as operações com mercadorias que circulam no mercado até atingir o consumo. Assim, por ser um imposto sobre o consumo, para a caracterização do fato gerador basta um ato jurídico capaz de proporcionar a circulação de uma mercadoria, independentemente da transferência de propriedade. Quanto à mercadoria, seu conceito no direito privado é aberto, admitindo bens móveis corpóreos ou incorpóreos, bastando que a coisa tenha como destinação a especulação no mercado. Assim, é possível a incidência do ICMS sobre a licença de uso de software-produto, pois se encaixa no conceito de "operações" eleito pelo constituinte, por ser capaz de circular uma mercadoria, mesmo aquele fornecido por computação em nuvem.

Company towns across the Americas played similar economic and social roles. They advanced the frontiers of industrial capitalism and became powerful symbols of modernity. They expanded national economies by supporting extractive industries on thinly settled frontiers and, as a result, brought more land, natural resources, and people under the control of corporations. U.S. multinational companies exported ideas about work discipline, race, and gender to Latin America as they established company towns there to extend their economic reach. Employers indeed shaped social relations in these company towns through education, welfare, and leisure programs, but these essays also show how working-class communities reshaped these programs to serve their needs.
