Book excerpt: This paper empirically examines the role of environmental uncertainty and corporate culture on the relationship between non-financial performance measures and organizational performance from manufacturing firms in Bangladesh. Specifically, it investigates the hypothesis that non-financial measures of performance lead to improved organizational performance under circumstances of increased environmental uncertainty and corporate culture. Data from a sample of 61 manufacturing firms listed on Dhaka Stock Exchange (DSE) in Bangladesh were collected. Data were then analyzed using multiple regression and factor analysis of multivariate statistical tool. Results show that there is a negative but statistically significant relationship regarding the impact of environmental uncertainty on the relationship between non-financial measures and firm performance. The results also advocate that sample Bangladeshi firms make greater use of non- financial measures with the aim of improving firm performance when environmental uncertainty is low. Conversely, the study finds positive relationship between flexibility type corporate culture and the organizational performance, and the moderating effect of this cultural type on the non-financial performance measures- organizational performance linkage. The results of this study must be interpreted with caution since it concentrates only on small sample manufacturing firms. To the best of our knowledge, the study is first to provide evidence on the environmental uncertainty and corporate culture affecting the use of non-financial performance measures and firms performance in the context of a developing country, in particular in Bangladesh.

Book excerpt: This study investigates the role of CEO, board independent director as well as separate elements of corporate governance on firm performance for the listed non-financial companies in Dhaka Stock Exchange (DSE) 2008.Specific objective of this research is to examine the relationship between separation of CEO and the proportion of independent directors on firm performance as measured by return on assets (ROA) and return on equity (ROE). This paper is based on a sample of 93 listed companies and Used OLS as a method of estimation. The results suggest a positive association between ROA and separation of chief executive officer and between board independent director and ROA. The results further reveal a positive association between ROE and chief executive officer as well as board independent director. However, ownership structure is negative association with the firm performance measures (ROA and ROE) but not significant.

Book excerpt: This paper examines the relationship between board of directors, an important corporate governance instrument, and performance of non-bank financial institutions in Bangladesh. Based on the economic perspective of agency theory, this research develops hypotheses to explain the board-performance relationship. With the 40 firm-year observations, this study conducts regression analysis to investigate the relationship. Results show the positive but least significant impact of board independence on firm performance. However, the associations of other board attributes with performance measures are insignificant which indicates the lack of effectiveness of board as a corporate governance mechanism to protect shareholders' interests. Empirical findings of the study contribute in the scarce literature related to corporate governance in financial institutions, and these have important policy implications to public and private policy makers to formulate appropriate corporate governance framework.
