Book excerpt: À l’instar de l’État, société politique par excellence, les sociétés anonymes sont, en droit français comme dans le droit des pays de l’O.H.A.D.A., régies par des principes démocratiques. Ceux-ci postulent une séparation, ainsi qu’une spécialisation et une hiérarchisation des organes sociaux, lesquels organes sont autant de pouvoirs. Ainsi, la souveraine assemblée des actionnaires est en charge de l’ultime contrôle de la gestion des affaires sociales qui, elle, incombe aux dirigeants sociaux. Afin de rendre effectif ce contrôle, le droit français et, à sa suite, le droit africain qu’il a fortement inspiré, se caractérise par un mouvement de renforcement du droit d’information des actionnaires. Ce mouvement se traduit par une diversification des procédés d’information et par une extension du domaine de l’information. Subséquemment au renforcement du droit d’être informé qu’ont les actionnaires, il s’observe dans les deux droits l’affirmation du droit pour les concernés de bénéficier d’une information efficace ; affirmation qui se fait par le biais d’un renforcement du contrôle légal des comptes et de l’octroi aux actionnaires de la possibilité d’exercer des recours auprès de certaines autorités. En France comme dans le périmètre O.H.A.D.A., ces deux dynamiques font que l’information dont bénéficient les actionnaires est une des sources du contre-pouvoir que ces derniers peuvent constituer face aux mandataires sociaux.

These cultural expressions have become increasingly regulated by intellectual property (IP) rights, as orally transmitted stories are written down, traditional songs broadcast and ownership claimed, and sporting activities once part of village life become national media events. This volume brings together an interdisciplinary team of legal experts, anthropologists and literary scholars to explore, from a local African point of view, what happens to intangible cultural goods when they are confronted with large-scale commodification and distribution through media technologies, and defined by globalized and divergent judicial systems, institutions and cultural norms. These transformations are observed in diverse cultural products from Senegalese wrestling contests to beauty pageants in Mali, from Kenyan hip-hop to the Nigerian novel, from the vuvuzela to Cameroonian masks. Contributors address the role of the state and the colonial legacy of the European origination of IP laws, as well as the forms of ownership, technologies of mediation and degrees of commercialization that existed pre-colonially in different African societies, recognizing that performances in most societies have always been embedded in economic activities and exchange networks. Resisting a single narrative of the imposition of a Western, external legal regime displacing older African modes, these local studies open up a more complex picture of the intricate interconnections among pirates, artists, communities, governments and international organizations. They argue that it is only when local actors embrace technologies and regulations in a specific historical situation that these become influential forces for change. The question raised is not whether international IP norms conform to African practices, nor whether media impose a Western style, but rather what local actors do with these regulations and how both local and Western practices and technologies impact on each other and co-exist.

Cette étude s'attache à apprécier les rapports de pouvoir qu'entretiennent l'Etat actionnaire et les investisseurs privés au sein de sociétés par actions, en ressortant à ce niveau l'originalité et les points communs entre les systèmes français, OHADA et congolais. Elle analyse les conséquences en termes d’équilibre de rapports de pouvoir et d’intérêts que dégage l’application à titre de principe de règles du droit commun des sociétés, et à titre d’exception, de textes spéciaux étatiques qui confèrent des prérogatives exorbitantes à l’Etat. Elle révèle différents déséquilibres de pouvoir occasionnés par l’application stricte de chaque catégorie de ces règles et les dangers que cela représente pour la stabilité et l’avenir du partenariat sociétaire mixte. Face à de tels déséquilibres, la présente étude propose le mécanisme de la contractualisation comme outil juridique à même de permettre aux deux groupes d’actionnaires d’équilibrer leurs rapports de pouvoir, de prévenir et résoudre les conflits d’intérêts ente eux et cela, au moyen de clauses statutaires et de pactes d’actionnaires.
