Non vi è l’ambizione di fornire chiavi di lettura definitive o che possano racchiudere l’intera scienza della crisi d’impresa; si è tentato solamente di porgere un contributo alla soluzione di problematiche che, inevitabilmente e con tutta evidenza, emergono e la cui soluzione non si può certo lasciare solo alla giurisprudenza, che pure è considerata nell’ampia e recentissima casistica, riportata e studiata nel volume. L’idea di fondo di questo volume, difatti, nasce dalla necessità di provare a fornire un ordine ai rapidi mutamenti della legislazione sulla crisi d’impresa e dell’insolvenza, cui si assiste negli ultimi tempi, compreso il recentissimo D.L. 118/2021, convertito nella L. 147/2021, “figlio” anche della particolare situazione di emergenza economica derivante dalla pandemia Covid-19. Interventi volti ad offrire certezze al sistema, evitando i dubbi interpretativi che, sovente, rischiano di inficiare gli sforzi per la risoluzione delle crisi aziendali. Il tentativo, corretto e necessario, posto in essere dal Governo e dal Parlamento, per cercare di mitigare le difficoltà create alle imprese dall’emergenza sanitaria, mediante l’introduzione di quelle norme, anche temporanee, volte al sostegno del sistema economico, deve essere assunto univocamente e coralmente da tutti, al fine di ridurre il peso della crisi sulle attività produttive, mitigando le conseguenti ricadute sociali, che determinano un problema di sopravvivenza per interi nuclei familiari, un costo per l’intera collettività, nonché, una minaccia alla sopravvivenza stessa del tessuto economico del Paese. Non sottacendo la necessità che il Legislatore “adegui”, l’attuale normativa (quindi avremo nuove modifiche) anche alla Direttiva Europea 1023/2019 del 20 giugno 2021. Direttiva per la quale, lo Stato Italiano, ha chiesto una proroga, ai sensi dell’art. 34 della stessa Direttiva, rispetto al termine originario fissato al 17 luglio 2021. Si può solo rilevare, al momento, che “scorrendo” la Direttiva vi sarà, certamente, la necessità di affinare ed allineare quanto sino ad oggi il Legislatore ha prodotto che, a volte, parrebbe non in linea con quanto statuito nella medesima Direttiva. Ci auguriamo che il Legislatore intervenga per tempo, al fine di evitare “fughe in avanti” di una giurisprudenza “interpretativa”, che potrebbe rischiare di vanificare i tentativi di superamento della crisi, pur nella giusta contemperazione degli interessi tra i debitori ed i creditori. Se questa è l’idea di fondo, ci auguriamo condivisibile per tutti, l’auspicio è che il volume possa essere utile, sia agli studiosi, che al “legislatore”, che ai giudicanti nell’ottica di contribuire a migliorare, laddove possibile, l’applicazione delle regole e dell’impianto stesso, facilitando e chiarendo i percorsi per la rinascita di quel tessuto economico vitale che è il motore del Paese.
