Book Synopsis The Economic Structure of Corporate Law by : Frank H. Easterbrook
Download or read book The Economic Structure of Corporate Law written by Frank H. Easterbrook and published by Harvard University Press. This book was released on 1996-02-01 with total page 386 pages. Available in PDF, EPUB and Kindle. Book excerpt: The authors argue that the rules and practices of corporate law mimic contractual provisions that parties would reach if they bargained about every contingency at zero cost and flawlessly enforced their agreements. But bargaining and enforcement are costly, and corporate law provides the rules and an enforcement mechanism that govern relations among those who commit their capital to such ventures. The authors work out the reasons for supposing that this is the exclusive function of corporate law and the implications of this perspective.

The Handbook is first and foremost intended for practitioners and legal scholars, but its approachable style makes it readily accessible for students. The Handbook provides the reader with a thorough grounding in the EEA Agreement, detailing how secondary EU law becomes applicable in the EFTA pillar, and the roles played by the EFTA Surveillance Authority and the EFTA Court. Emphasis is placed on jurisprudence and especially that of the EFTA Court. Each chapter has been written by a judge, noted practitioner or eminent academic in their respective fields and the book is divided into twelve parts: Part I History and main features of the EEA Agreement Part II Genesis of EEA Law Part III Institutions and Procedure Part IV National Authorities in the EFTA Pillar Part V National Courts in the EFTA Pillar Part VI The Practicing Bar in the EFTA Pillar Part VII General Principles and Prohibition Part VIII The Fundamental Freedoms Part IX Competition Law and Related Matters Part X Further Areas of Economic Law Part XI Law of Natural and Economic Resources Part XII Social Protection and Public Health

Download or read book Keeping Pace with Change: Fintech and the Evolution of Commercial Law written by International Monetary Fund and published by International Monetary Fund. This book was released on 2022-01-27 with total page 31 pages. Available in PDF, EPUB and Kindle. Book excerpt: This note explores the interactions between new technologies with key areas of commercial law and potential legal changes to respond to new developments in technology and businesses. Inspired by the Bali Fintech Agenda, this note argues that country authorities need to closely examine the adequacy of their legal frameworks to accommodate the use of new technologies and implement necessary legal reform so as to reap the benefits of fintech while mitigating risks. Given the cross-border nature of new technologies, international cooperation among all relevant stakeholders is critical. The note is structured as follows: Section II describes the relations between technology, business, and law, Section III discusses the nature and functions of commercial law; Section IV provides a brief overview of developments in fintech; Section V examines the interaction between technology and commercial law; and Section VI concludes with a preliminary agenda for legal reform to accommodate the use of new technologies.
Book Synopsis Overseas Corporate Structures, Which Hide ‘Real Owners’ by : Nihal Sri Ameresekere
Download or read book Overseas Corporate Structures, Which Hide ‘Real Owners’ written by Nihal Sri Ameresekere and published by AuthorHouse. This book was released on 2012-07-13 with total page 570 pages. Available in PDF, EPUB and Kindle. Book excerpt: Author brilliantly reveals with documentary evidence, extensive details of incisive investigations meticulously carried out by him, in tracing foreign assets and funds hidden in a complex structure of nominee companies, established in several foreign regimes, allegedly of a phenomenally successful, politically high-profile entrepreneur, who tragically crashes in his Lear Jet Aircraft in the Straits of Malacca. Author demonstrates the modus operandi, as to how funds and assets of politically exposed persons, forced to flee their countries, with siphoned resources of impoverished people, could be hidden under complex corporate structures, set-up by professional organizations, providing nominee Directors / nominee Shareholders, with Trust Instruments, with the real beneficial owners. This Book is invaluable in instances where political leaders / politically exposed persons are ousted from office, through mass uprisings and justifiable rebellions by people, whose resources have been pillaged and plundered, further impoverishing them. Authors investigations cover secret complex corporate structures, headquartered in Hong Kong, with visible corporates operating in Malaysia, Singapore, Thailand, UK, and USA, with the ultimate beneficial owners secret trusteeship traced to an Administrator in Lichtenstein, who does not dispute the name of the real beneficial owner, but requires proof of death and devolution on claimants. This is an invaluable Book to those engaged in tracing wealth stashed away in foreign regimes by politically exposed persons hounded from their countries. Author also sheds light on judicial proceedings vis-a-vis intestate estates of issueless deceased, analysing the incongruousness of legal interpretations, and classical instances of unequal treatment before the law, tainted with politically inspired conduct. This is a valuable handbook to those involved in forensic accounting, investigation and law, and to those engaged in academic, educational and real endeavours in tracing assets and funds hidden in foreign regimes - an integral component of the UN Convention Against Corruption.

Book Synopsis Asia-Pacific Trusts Law, Volume 2 by : Ying Khai Liew
Download or read book Asia-Pacific Trusts Law, Volume 2 written by Ying Khai Liew and published by Bloomsbury Publishing. This book was released on 2022-12-15 with total page 417 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book brings together leading legal scholars and practitioners from across the Asia-Pacific region to probe the ways in which trusts law has been adapted by various jurisdictions, and to analyse their causes and effects. The contributions discuss how the trust structure, with its inherent malleability, has been adapted to meet a diverse set of local needs, including social, religious, economic, commercial, or even historical needs. But in most instances, those needs - and the ways in which trusts law has been adapted to meet them - are not unique to a single jurisdiction: they often (coincidentally or otherwise) find much in common with others. By making its readers aware of the commonality of needs in Asia- Pacific, this book also aims to encourage coordination and cooperation in utilising trusts law to address shared concerns across the region.
Book Synopsis International Handbook on Comparative Business Law by : Dennis Campbell
Download or read book International Handbook on Comparative Business Law written by Dennis Campbell and published by Springer Science & Business Media. This book was released on 2013-11-11 with total page 318 pages. Available in PDF, EPUB and Kindle. Book excerpt: More than a decade has passed since economist Richard N. Cooper reflected upon the trend toward increasing economic interdependence in the international community: During the past decade there has been a strong trend toward economic interdependence among the industrial countries. This growing interdependence makes the successful pursuit of national economic objectives much more difficult. Broadly speaking, increas ing interdependence complicates the pursuit of national objectives in three ways. First, it increases the number and magnitude of the disturbances to which each country's balance of payments is subjected, and this in turn diverts policy attention and instruments of policy to the restoration of external balance. Second, it slows down the process by which national authorities, each acting on its own, are able to reach their domestic objectives. Third, the response to greater integration can involve the community of nations in counter-acting motions which leave all countries worse off than they need be . . . J Nothing has occured in the 1970s to suggest that Cooper's assessment is inaccurate. Indeed, the process which he identified has accelerated. By the mid-1970s, if one is to mention but one example, exports accounted for twenty per cent of the combined gross national product of the Member States of the European Communities, and exports provided seven per cent of the 2 gross national product of the United States.
