Book excerpt: Cette recherche se propose de dégager la règle de conflits de lois la plus adaptée aux pactes d’actionnaires.L’intérêt de cette étude réside, en grande partie, dans l’hétérogénéité de la nature des pactes, caractérisés par des éléments différents qui renvoient au droit des contrats, au droit des sociétés, au droit des marchés financiers. Certaines clauses, en effet, semblent relever de la vie de la société, tandis que d’autres ont un lien plus faible avec elle, et que d’autres encore en sont complètement indépendantes.L’originalité du sujet résulte donc de l’interaction et de l’interpénétration de deux disciplines et de deux lois : la loi applicable aux sociétés et la loi applicable aux contrats. Si, d’une part, plusieurs problèmes que les pactes d’actionnaires posent peuvent trouver une solution dans l’application des règles applicables aux contrats, de l’autre coté, le rattachement à la loi applicable aux contrats semble faire l’objet d’une grande interférence de la loi applicable à la société.L’étude de cette question a été conduite dans une perspective purement analytique, c'est-à-dire prenant en compte les différents fragments de réglementation qui s’appliquent aux pactes d’actionnaires et aux différentes situations qui peuvent avoir un impact sur la loi applicable.La solution proposée consiste dans l’acceptation d’un régime hétérogène, qui peut conduire à l’adoption de deux critères de rattachement alternatifs et variables en fonction du contenu du pacte et de son impact sur le fonctionnement du rapport social.
