Book excerpt: Le présent ouvrage a été initié sur le constat qu’il existe relativement peu d’écrits en langue française relatifs à l’entreprise multinationale ou transnationale. En vue de contribuer à combler ce manque, il aborde le phénomène sous différents angles. Le point de départ consiste à rechercher une définition et à situer les multinationales en droit international public. Ensuite, sur les plans national et international, différents droits et obligations sont passés en revue. Les questions suivantes sont alors traitées : quelles sont leurs obligations en matière civile et pénale ? Existe-t-il une responsabilité pénale pour des délits internationaux ? Quels sont les impacts de la responsabilité societale et des normes de soft law ? Une deuxième partie appréhende les multinationales du point de vue du droit des sociétés et plus précisément du droit des groupes. Ce dernier pose la question de l’intérêt d'une codification globale des groupes et apporte des solutions (en prolongeant la réflexion sur les responsabilités possibles de multinationales, celles de la société mère pour sa filiale est étudiée). Il s’agit de la problématique de la levée du voile social d’une société mère. Du point de vue des droits, l’accent est mis sur la protection de leur propriété intellectuelle et des perspectives qui leurs sont ouvertes. Enfin, l’ouvrage aborde le cas particulier des savoirs traditionnels. L’ouvrage s’adresse aussi bien au praticien du droit (magistrat, avocat, juriste d’entreprise, etc.) qu’au professeur, chercheur et étudiant.

This collection comprises 20 national reports from jurisdictions in Europe, North America, Latin America and Asia, addressing the private international law aspects of corporate social responsibility. They provide an overview of the legal differences between geographical areas, and offer numerous examples of how states and their courts have resolved disputes involving private international law elements.
