Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Trade Association Activities and the Law: A Discussion of the Legal and Economic Aspects of Collective Action Through Trade Organizations Coöperation is the keystone of civilization. Power - order - progress, - civilization itself depend upon the ability of men to work together for the common good. Just as the maintenance of the State requires cooperative organization, so too is there a compelling necessity for unity of purpose and action in industry if the progress of American commerce and the national interests are to be forwarded. If unreasonable legal prohibitions make cooperation between competing groups in industry impossible, even though not hurtful to the public, the result will be to compel a process of merger, consolidation and ultimate monopoly with its dangerous social and economic effects. We can encourage a cooperative organization of industry, without endangering competition. Indeed the preservation of the competitive system depends in no small degree upon the ability of business men, particularly the smaller business men, to work out their larger problems through collective action. Unfortunately, the wilful violation of the law by some associations has created a spirit of hostility and suspicion on the part of the general public toward any united action by business men. The achievements of our trade associations, redounding to the public good, have not been told. The strengthening of business ideals, the reduction of the wastes and frictions of trade, the increased efficiency in production and distribution, the vast savings to the public, all of which have resulted from the collective action of business men through their trade organizations, arc a closed book to the public. The great program of cooperation between industry and government, now being effected by the Department of Commerce, under the direction of Secretary Hoover, is just awakening a general interest and creating a realization of the importance of the effective organization of our industries, both in domestic and foreign trade. Available in PDF, EPUB and Kindle. Book excerpt: Popular conceptions hold that capitalism is driven almost entirely by the pursuit of profit and self-interest. Challenging that assumption, this major new study of American business associations shows how market and non-market relations are actually profoundly entwined at the heart of capitalism. In Solidarity in Strategy, Lyn Spillman draws on rich documentary archives and a comprehensive data set of more than four thousand trade associations from diverse and obscure corners of commercial life to reveal a busy and often surprising arena of American economic activity. From the Intelligent Transportation Society to the American Gem Trade Association, Spillman explains how business associations are more collegial than cutthroat, and how they make capitalist action meaningful not only by developing shared ideas about collective interests but also by articulating a disinterested solidarity that transcends those interests. Deeply grounded in both economic and cultural sociology, Solidarity in Strategy provides rich, lively, and often surprising insights into the world of business, and leads us to question some of our most fundamental assumptions about economic life and how cultural context influences economic.

Associations are setting product standards, certifying the expertise of professionals, and actively opposing or promoting new legislative and regulatory initiatives. But association activities raise potential antitrust risks and their exposure to antitrust challenge has increased proportionately. This Handbook helps association counsel and executives help to understand the antitrust issues associated with association activities and minimize their risk.

Book excerpt: Business Organizations: A Transactional Perspective teaches business organizations from a transactional practice perspective rather than a litigation-based one. By using this book, students will gain a solid foundation in the law of business organizations. Additionally, students will enhance their understanding of the business contexts in which the law operates, and they will gain an appreciation of the practice issues confronted by transactional lawyers when advising business organizations. The book incorporates both narrative text to explain core concepts of law and practice and actual statutory provisions, thus eliminating the need for a statutory supplement. Specific topics include forming, operating and terminating partnerships, corporations, and limited liability companies. Additionally, the book presents basic accounting and tax issues any transactional lawyer should know. The third edition features state and federal cases that are highly edited to show specific points of law pertinent to transactional practice. Serving as both an instructional textbook and preparation for the bar exam, Business Organizations: A Transactional Perspective can be used not only in law school courses, but in any graduate or undergraduate legal course on business organizations and associations, corporations, partnerships and limited liability companies.

Available in PDF, EPUB and Kindle. Book excerpt: Business Organizations: A Transactional Approach, Third Edition, by William K. Sjostrom, Jr., teaches from a transactional perspective and shows how the legal concepts are written in the real world. It has numerous actual provisions from the various documents corporate lawyers draft and review, so that students gain a sense for what corporate lawyers do in practice. With content selected through a corporate lawyer lens, and emphasis on real-world provisions, this is the only Business Organizations casebook on the market allowing students to work with complete transactional documents (e.g., limited liability partnership agreements, LLC operating agreements, certificates of designation, warrant agreements, and shareholders’ agreements). Featuring numerous exercises, designed to reinforce the covered material and help students develop the planning and problem-solving skills of a corporate lawyer as well as expose students to the documents and issues at the heart of a transactional practice, the book also contains more narrative and fewer cases--legal concepts are covered in concise explanatory text instead of judicial opinions. New to the 3rd Edition: Expanded coverage of LLCs in light of their increasing importance Newer cases involving widely recognized companies (Priceline.com, Tesla) Updated and improved corporate documents Coverage of 2018 changes to federal income taxation of individuals and businesses Professors and students will benefit from: Straightforward text makes it easier to teach complicated concepts Numerous exercises make the book ideal for problem method teaching Practice-oriented—students exposed to real-world provisions and agreements Transaction-oriented—students get a sense for what corporate lawyers do Problem oriented—students get to repeatedly apply what they’ve learned
