Mais cela ne signifie pas pour autant que le juge ne puisse s’y référer ponctuellement et utilement dans sa démarche d’interprétation du contrat ou lorsqu’il s’agit de contrôler la légitimité du comportement des parties. Cela étant, cette possibilité demeure insuffisante à faire du concept un élément généralement intégré au raisonnement juridique. En revanche, le concept d’efficience stratégique du contrat apparaît davantage comme un objectif essentiel et déterminant du contenu contractuel, lorsqu’il est envisagé du point de vue des parties et dans l’exercice de leur liberté contractuelle. En ce sens, le développement contemporain de la technique contractuelle a fait apparaître des outils juridiques de plus en plus affinés, visant à introduire au contrat plus de flexibilité mais aussi de sécurité au regard des enjeux stratégiques et faisant de l’édifice contractuel un instrument véritablement performant.

The most important factor in economic development has always been technology, as a way to expand a limited resource base. Such increase in technology and knowledge is generally accepted by economists, but the mechanisms of exchange through which this happens are much less studied. Generally, a static analysis of product exchange, incorporating new technology, has been undertaken. This book explores the transition of trade in ideas from an exchange largely within firms and nations to an exchange between firms and nations. This process has been going on since the beginning of the patent system, where importing (trading) technology was made policy in 1474, more than 500 years ago. However, during the past 25-30 years, a growth in exchange of technology between specialized firms, cooperating based on patent licensing, has been phenomenal, with annual licensing transactions exceeding a trillion dollars, not counting value of cross-licensing. Such specialized exchange has been seen in history but not at this scale and level of coordination. Using principles of experimental economics, the author investigates the licensing contract and mechanisms of exchange (rules of trade) as this exchange moves towards organized markets with prices. A key issue concerns the effect of introducing demand side bidding, through which the patent system introduces specialization and multiple use of the same technology in different new products, thus expanding the use of technology a firm has to more actors, products, and consumers. The risk and uncertainty in market access for cheaper, better and unique products and services are reduced through new and competitive technology. Questions raised are related to the “optimal” integration of information and rules in dynamic exchange of patents through institutions. The view presented shows how inventors and traders can sell their intellectual property to buyers in a producer market, in this case in licensing contracts on patents, to diversify risk and monetize value based on an experimental economic study where the performance and behavioral properties of these institutions is the object of investigation. More fundamentally the work illustrates the theoretical, design, and patent system policy issues in a transition from personal to impersonal trade in ideas. Les systèmes de mise en œuvre ne suivent pas un modèle unique, mais tous les modèles partagent des points communs qui forment le coeur du cadre de mise en œuvre des systèmes de protection sociale. 2. La qualité de la mise en œuvre a une grande importance et la faiblesse de l’un des éléments constitutifs de la chaîne de mise en œuvre affectera négativement l’ensemble de celle-ci et réduira les impacts du ou des programmes qui lui sont associés. 3. Les systèmes de mise en œuvre évoluent dans le temps, de manière non linéaire et leur point de départ est important. 4. Dès le début de la mise en œuvre, des efforts devront être déployés pour « garder les choses simples » et pour « bien faire les choses simples ». 5. Le premier segment de la chaîne, à savoir l’interface entre les futurs bénéficiaires et l’administration, est souvent son maillon le plus faible. Son amélioration peut nécessiter des changements systémiques, mais ceux-ci contribueront considérablement à l’efficacité globale et atténueront les risques d’échec de cette interface. 6. Les programmes de protection sociale ne fonctionnent pas dans le vide et, par conséquent, leur système de mise en œuvre ne doit pas être développé en vase clos. Des opportunités de synergies entre institutions et systèmes d’information existent et les saisir peut améliorer les résultats des programmes. 7. Au-delà de la protection sociale, ces systèmes de mise en œuvre peuvent aussi améliorer la capacité des gouvernements à fournir d’autres prestations ou services, comme les subventions à l’assurance maladie, les bourses d’études, les tarifs sociaux de l’énergie, les allocations logement et l’accès aux services juridiques. 8. L’inclusion et la coordination sont des défis omniprésents et permanents. Pour les relever, il faut donc améliorer de façon continue les systèmes de mise en œuvre à travers une approche dynamique, intégrée et centrée sur la personne.
