Book excerpt: La modificación estructural de sociedades, en cuanto alteración de la sociedad que va más allá de la simple modificación estatutaria, afectando a la estructura patrimonial o personal de la sociedad, ha conocido, por lo que respecta a su régimen jurídico, una significativa novedad con la aprobación en 2009 de la Ley de modificación estructural de sociedades, norma legal que aborda la transformación, fusión, escisión o cesión global de activo y pasivo, además del traslado internacional del domicilio social. Se trata en ese sentido de una ley aplicable a todo tipo de sociedades, ya anónimas, ya de responsabilidad limitada y, como no podía ser de otra manera, a la propia sociedad laboral. Precisamente, el presente estudio se centra en analizar, desde una perspectiva multidisciplinar (mercantil, laboral y fiscal), el régimen jurídico de este tipo de operaciones societarias y los problemas que pueden plantear su ejecución en el caso de las sociedades laborales. No debe olvidarse, sin embargo, que si bien el régimen de las modificaciones estructurales no presenta ninguna peculiaridad con respecto a las sociedades laborales, las mismas pueden incidir en el cumplimiento por parte de dichas sociedades de los requisitos de los que depende el que una sociedad reciba la calificación de laboral, caso del porcentaje mínimo de participación en el capital social de los trabajadores contratados indefinidamente, el número de horas-año trabajadas por aquellos que no tengan la condición de socios, o la participación máxima que cada socio puede alcanzar en el capital social. Finalmente, se trata de una monografía que pretende facilitar un mejor conocimiento del régimen jurídico al que se sujetan las sociedades laborales.
