La responsabilité personnelle de la société se présente ainsi comme une responsabilité autonome fondée sur la conception fonctionnelle de la personnalité morale. Le fait générateur personnel imputé à la société est celui qui naît de l'exploitation autonome de l'entreprise : il est commis par un organe représentatif, de droit ou de fait, pour son compte, c'est-à-dire pour l'exploitation de l'entreprise. L'exploitation autonome de l'entreprise délimite donc la responsabilité de la société et celle des personnes physiques composant le groupement. La sanction personnelle de la société porte sur l'exploitation autonome de l'entreprise et est limitée à l'exploitant. Elle frappe la société personnifiée, ce qui retentit immédiatement sur les associés et indirectement sur toutes les personnes qui ont un intérêt particulier dans cette exploitation.
