La faillite de la théorie privatiste classique de l'entreprise assise sur des notions et des techniques propres au droit privé conduit les auteurs, si ce n'est à renoncer à cette oeuvre doctrinale d'envergure, à se tourner vers la doctrine du droit public. Un certain renouveau de la théorie générale de l'entreprise en droit privé se fait ainsi jour sous l'influence de plusieurs courants doctrinaux du droit public. L'analyse se propose de dévoiler dans une perspective critique ce deuxième aspect déterminant de la rencontre de la notion d'entreprise et du droit public. La doctrine de droit public oeuvre en effet à un renouveau de la théorie institutionnelle de l'entreprise et initie l'élaboration prometteuse d'une définition "ordinale" de l'entreprise.

Ensuite, l'Etat ou les autres personnes publiques peuvent être eux-mêmes opérateurs fournisseurs de biens et de services sur le marché. Cette participation au marché est réglée par le régime juridique applicable au secteur public, composé d'entreprises publiques. Enfin, les personnes publiques, en position de demandeurs sur le marché, engagent une relation de collaboration avec les opérateurs économiques, pour satisfaire leurs besoins. Cette collaboration est régie par le droit de la commande publique au sens large, incluant le régime des contrats immobiliers ayant un objet économique. La cinquième édition est à jour des réformes récentes du droit de la commande publique, incluant les ordonnances n° 2015-899 du 23 juillet 2015 relative aux marchés publics et n° 2016-65 du 29 janvier 2016 relative aux contrats de concessions, ainsi que leurs textes d'application. Pour la première fois, le droit public des affaires est abordé sous l'angle des trois fonctions de l'administration vis-à-vis de l'économie, étudiées dans un seul et même ouvrage destiné aussi bien aux étudiants de masters 1 et 2 qu'aux professionnels.

Justified by notions of personal moral guilt, criminal norms have been judged inapplicable to fictional persons, who ‘think’ and ‘act’ through human beings. The expansion of new corporate criminal liability (CCL) laws since the mid-1990s challenges this assumption. Our volume surveys current practice on CCL in 15 civil and common law jurisdictions, exploring the legal conditions for liability, the principles and options for sanctioning, and the procedures for investigating, charging and trying corporate offenders.
