Book excerpt: Dans la plupart des conventions internationales récentes portant loi uniforme ou droit applicable aux contrats de vente internationale de marchandises ou aux contrats de transport international de marchandises, c'est la notion de livraison qui est utilisée par préférence a celle de délivrance. ce couronnement de la livraison se justifie principalement par le fait que la notion de délivrance a l'inconvénient d'être plus complexe et surtout d'être connue uniquement des systèmes de droit et d'inspiration française (code napoléonien). la livraison de marchandises s'entend, a priori, de la remise effective de la marchandise a l'ayant droit et, a défaut de remise effective, de la mise a disposition effective de cette marchandise conformément soit aux stipulations contractuelles, soit aux dispositions légales applicables, soit aux usages ou a la pratique. en vertu des principes fondateurs des contrats tels la bonne foi, la diligence raisonnable etc..., on ne peut concevoir une remise ou mise a disposition, c'est-a-dire une livraison, d'une marchandise autre que celle promise au contrat. de ce fait, la conformité de la remise, sans être un élément de définition de la livraison, peut avoir un rôle plus ou moins important a jouer a posteriori (vente et certains cas de transport) ou a priori (généralement dans les transports) dans l'appréciation de l'obligation de livrer. par ailleurs, toute livraison comporte des aléas que les parties intéressées peuvent limiter, voire maitriser de façon optimale en pratiquant une vraie coopération (obligation d'information, de conservation etc...) et en prévoyant de façon soigneuse les modalités de la livraison.
