Book excerpt: In the last years, the debate on cooperative governance has been extensive; nevertheless the research aimed at identifying best practices did not lead to the formulation and adoption of Governance Codes comparable to the ones applied in the big investors-owned corporations. In 2008 the cooperatives affiliated to Legacoopservizi approved a Governance Code. This research verifies the extent of application of the Code two years after its official endorsement in 49 service cooperatives with a turnover of over 25 millions euro. The research investigates the application of the “open door” principle for new members and the regulation concerning the composition of the Board of directors.

Available in PDF, EPUB and Kindle. Book excerpt: The Italian Cooperative Sector is amongst the largest in the world comprising over 60,000 cooperatives from all sectors of the economy directly employing 1.3 million people. Cooperatives created close to 30 percent of new jobs in Italy between 2001 and 2011 demonstrating that democratic cooperative enterprises can successfully operate in a market economy combining economic success and social responsibility. These offer a viable alternative to profit maximising enterprises and an opportunity to create a more pluralist and democratic market economy. The Growth of Italian Cooperatives: Innovation, Resilience and Social Responsibility comprehensively explains how the Italian cooperative sector has managed to compete successfully in the global economy and to grow during the global financial crisis. This book will comprehensively explain how the Italian cooperative movement has managed to grow into a large successful network of cooperatives. It will examine the legislative framework and their unique business model that allows it to compete in the market as part of a network that includes central cooperative associations, financial and economic consortia, and financial companies. It will explore cooperative entrepreneurship through a discussion of the formation of cooperative groups, start-ups, worker-buyouts and the promotion of entirely new sectors such as the social services sector. Finally, The Growth of Italian Cooperatives examines how cooperatives have managed the GFC and how their behavior differs from private enterprises. It will also analyze the extent to which cooperatives compete while still uphold the key cooperative principles and fulfil their social responsibility. This book is an interdisciplinary study of cooperative development and is designed to inform members of the academic community, government, public policy makers and cooperative managers that are primarily interested in economic democracy, economics of the cooperative enterprise, cooperative networks and economic development, cooperative legislation, democratic governance, job creation programs, politics of inclusion and how wealth can be more equitably distributed.

Book excerpt: This book addresses the nexus of issues exploring governance structures and mechanisms in public service organizations, thus contributing to the development of disciplines that focus on public management. It goes beyond the state of the art by addressing a number of specific issues in a more systematic fashion. The book’s interdisciplinary focus is a particularly valuable asset, as its topic is situated at the crossroads of a number of fields, including public management, business administration, corporate governance, policy studies, political science, sociology, and third sector studies, all of which offer important perspectives and are important for the development of public management and public services. The book covers more than Italy and Norway and focuses specifically on public service organizations, addressing more aspects of their governance structures and mechanisms than any other book available today. The unique presentation of features related to the governance and management of different actors (state-owned enterprises, local public utilities, ministries, municipalities, citizens, etc.), involved at different levels in the production and provision of public services, makes it possible to compare and contrast these different perspectives and opens new avenues of theoretical collaboration and development.

Available in PDF, EPUB and Kindle. Book excerpt: Cooperative Enterprises is the first textbook to examine the evolution of the cooperative enterprise model and the contribution that cooperatives can make to the economy and society. It provides an accessible overview of the subject, looking at history, cooperative models, theories, legislation, and governance. Cooperative Enterprises takes an international approach throughout, drawing on examples from cooperatives from across the globe. The book offers a valuable historical perspective, placing cooperatives within their political, social, cultural, and economic contexts since the Industrial Revolution. It analyses and compares the cooperative law of 26 jurisdictions and showcases key defining moments for cooperative enterprises, cooperative development models, cooperative‐specific good practice standards, and compares the cooperative model with the private enterprise model, giving readers a comprehensive view of the subject. The book also demonstrates that cooperatives correct the market, complement the role of the state, support local economic development, reduce income and wealth inequalities, promote social cohesion, and promote economic democracy. Students are supported with a range of pedagogical features, including case studies, tables, figures, chapter summaries, and discussion questions to encourage critical thinking. This is the ideal textbook for undergraduate and postgraduate courses on cooperative studies, and will also be an illuminating resource for students, researchers, and policymakers interested in social enterprise, business history, economic history, corporate governance, economic democracy, and community development.

Available in PDF, EPUB and Kindle.

Book excerpt: This book assesses the Statute for a European Cooperative Society (SCE) regarding agricultural activities by comparing how specific questions arising in this context must be dealt with under the Italian and Austrian legal systems. In this regard, Council Regulation (EC) No. 1435/2003, of 22 July 2003, on the Statute for a European Cooperative Society (SCE), is used as a tool for the structured analysis of various aspects of agricultural cooperatives. However, a comparison is only meaningful if the results are made comparable on the basis of a previously defined standard. Accordingly, the study uses, on one hand, a cooperative model developed by European legal scholars that defines general guidelines on how cooperatives should function (PECOL). On the other, the results are presented in connection with economic considerations to discuss how efficient rules can be developed.

Book excerpt: for many years been heavily dependent on bank financing, and this situation has not changed fundamentally. In his paper on stock exchange governance in the European Union Guido Ferrarini discusses the relative merits of member and investor ownership and compares stock exchange regulation in a number of EU countries. Faced with increasing competition amongst themselves and against other enterprises that offer transaction services, such as proprietary trading systems, it is essential for European stock exchanges to improve their efficiency and to generate volume. Large investments in new information technology are necessary in order to preserve competitiveness in agIobaI financial market. The implementation of the ISD has accelerated cross-border transaction activity of member firms and investors and strengthened the pressure for convergence of national stock exchange laws in the EU. In their paper, Francesco Giavazzi and Marco Battaglini look at the role played by banks in privatization processes. Banks can be involved in such processes in several ways. They may themselves be the objects of privatization since in many countries a significant fraction of the banking industry is publicly owned. This is the case in France, Spain and Italy. But banks can also be important buyers of the equity of industrial firms sold by the government if they are allowed to do so. The authors characterize privatizations as a very good opportunity to set up the right environment for the development of new financial intermediaries and in general for asound corporate governance system.

Available in PDF, EPUB and Kindle. Book excerpt: This collection considers the financial crisis from a managerial perspective, focussing on the business implications for the financial industry. Topics examined include governance, information needs and strategy of financial intermediaries and investors. The contributions build on the existing literature and present some unique insights on governance, credit quality evaluation and performance measurement. In a fast growing or steady market, it is possible for even an inefficient financial system to satisfy investors’ and firms’ needs. However, the current financial crisis has brought into sharp relief the limits of the inefficient practices adopted by the market, and made clear the importance of developing more effective governance mechanisms, more detailed and complete information databases and new strategies. The crisis has also brought to the fore issues about the governance of financial intermediaries that had not been previously addressed. These include board diversity, internal monitoring procedures and the existence of interlocking directorates. More broadly, the financial crisis has radically altered the international framework, with an increasingly consolidated financial sector, and the rise of new markets (such as China) that now play a predominant role in the worldwide market. Studies on the competition and on the performance in this new scenario are essential in order to understand the implications of recent events.

Book excerpt: The United Nations declared 2012 the year of cooperatives, emphasizing that there is an alternative to privately owned firms. While greed and mismanagement have caused world financial and economic crises, co-ops offer another type of business for economic activities that is less exposed to aggressive capitalism. This book provides a problem-oriented overview of the development of cooperatives over the last fifty years. The global study addresses the major challenges cooperatives face, such as the organizational innovations introduced to acquire necessary risk-capital and implement growth-related strategies, the wave of demutualization in developed nations and their ability to construct an original consumer politics. The contributors to this volume discuss the successes and failures of the cooperatives and ask whether they are an outdated model of enterprise. They document a wave of foundations of new co-ops, new forms of collaboration between them and a growing trend toward globalization.
