Por otro, la influencia de los movimientos teóricos de gobierno corporativo y responsabilidad social corporativa que surgieron en la década de los 90 revolucionaron la manera de entender la gobernanza en la sociedad cotizada y que mediante recomendaciones intentaban conseguir una gestión más eficaz y transparente en el órgano de administración de estas sociedades y mejorar las relaciones con los accionistas minoritarios. La última parte abarca el estudio del órgano de administración en la sociedad cotizada, su composición, el nombramiento de sus consejeros y otros rasgos y especialidades respecto al resto de sociedades , así como la influencia que han tenido los movimientos de la segunda parte en este órgano y como puede mejorarse la gestión de estas sociedades.
