On peut justifier son inefficacité de deux manières : d'une part, il ne tient pas suffisamment compte du fonctionnement réel de la société ; d'autre part, il s'avère dans certains de ses aspects de plus en plus formaliste, inadapté, suspicieux, voire dépassé. Pourtant, ce contrôle vise la protection des tiers et des actionnaires contre la toute puissance des dirigeants. Toutefois, ces intérêts sont si généraux que ce contrôle légal obéît plus à un ordre public de direction. La poursuite de cette mission citoyenne l'a été à l'encontre des intérêts des actionnaires. La corporate governance fait renaître les droits des actionnaires au détriment de ceux des dirigeants. La société doit être gérée dans leur interêt exclusif. Les recommandations de ce mouvement sont véhiculées par les fonds de pension, acteurs récents du marché boursier et interlocuteurs des dirigeants. Leur forte présence dans le capitalisme français oblige les dirigeants à gérer dans l'intérêt des actionnaires. Le recul de l'institutionnalisme au profit du contractualisme dans les rapports actionnaires-dirigeants fait l'unanimité. La prise en considération des intérêts des actionnaires propriétaires de la société par le dirigeant doit être une constante. Elle peut se traduire par une collaboration régulière entre le dirigeant, les actionnaires et le commissaire aux comptes, par le développement du débat technique au sein du conseil. Par ailleurs, on doit faciliter la rentabilité de l'investissement de l'actionnaire individuel qui n'est intéressé que par le retour sur son investissement. Car la finalité est de ne plus laisser le dirigeant seul maître à bord du navire, mais de l'assister afin de parvenir à une bonne gestion de la société anonyme qui se traduit par la création de la valeur actionnariale.
