Book excerpt: The practice of consultation between senior managers and employee representatives has a long history in British employment relations yet has often been overshadowed by discussions on collective bargaining. In the last few decades, the importance of consultation has been elevated by two main trends: the decline in trade union membership and the retreat from collective bargaining in the private sector on the one hand, with the result that consultation may be the only form of collective employee voice available; and the programme of legislative support for consultation by the European Union since the 1970s on the other. The book charts the meaning and development of consultation in the twentieth century and explores the justifications for the practice. It shows how EU intervention to promote consultation evolved and changed, paying particular attention to the adoption of the Information and Consultation of Employees (ICE) Regulations, which became fully operational in enterprises with 50 or more employees in 2008. Analysing the half-hearted response to EU consultation initiatives by the social partners in Britain, it provides a critical assessment of successive UK governments' handling of the issue. Drawing on the authors' empirical research in twenty-five organizations, the book closely examines the take-up and impact of consultation regulations, and explores the processes involved in effective consultation. Consultation at Work looks at the dynamics of consultation and draws a contrast between 'active' consultation of the type envisaged by the EU, and more limited consultation used as a means of communication. Discussing the UK experience in comparative perspectives, it asks what has to happen for the take-up of consultation to improve and suggests the changes that should be made to the EU Directive and UK ICE Regulations.

Book excerpt: Transposition of the EU information and consultation Directive means that the UK now has, for the first time, a general statutory framework giving employees the right to insist on being informed and consulted by their employers on a range of key business, employment and restructuring issues. This article assesses the significance of the Information and Consultation of Employees Regulations 2004 in the light of the UK`s previous approaches to the regulation of employee consultation and in terms of potential patterns of implementation. A key aspect of the government`s legislative strategy has been to maximise employers` flexibility of response to the Regulations, enabling the negotiation of organisation-specific agreements and, controversially, providing scope for reliance on direct rather than representative-based forms of information and consultation. The article examines the options open to employers, employees and trade unions under the Regulations and their possible take-up, drawing on the experience of analogous UK legislation, including that on European Works Councils and trade union recognition.

The Regulations, which come into force on a rolling basis from spring 2005, represent a fundamental and complex change to employee relations in the UK, requesting companies to set up domestic works councils and inform and consult them about a wide range of business issues. This book provides a detailed explanation of the contents of the regulations, as well as offering expert guidance on their implications for employers in practice. The text explains the operation of the new law on a mechanical level and provides expert guidance on its implications. It addresses the practical concerns and questions of those affected - when do the regulations apply; how is the information and consultation process started; how does an employer negotiate; when should a voluntary procedure be considered; what does 'information and consultation' mean; how is confidential information best treated; how will the new be procedure enforced; how does it interact with existing laws on redundancy and TUPE? The Narrative is supported by flowcharts and sample procedures, together with the full text of relevant materials (the Regulations, the Directive, and DTI guidance).

Available in PDF, EPUB and Kindle. Book excerpt: Employee participation encompasses the range of mechanisms used to involve the workforce in decisions at all levels of the organization - whether direct or indirect - conducted with employees or through their representatives. In its various guises, the topic of employee participation has been a recurring theme in industrial relations and human resource management. One of the problems in trying to develop any analysis of participation is that there is potentially limited overlap between these different disciplinary traditions, and scholars from diverse traditions may know relatively little of the research that has been done elsewhere. Accordingly in this book, a number of the more significant disciplinary areas are analysed in greater depth in order to ensure that readers gain a better appreciation of what participation means from these quite different contextual perspectives. Not only is there a range of different traditions contributing to the research and literature on the subject, there is also an extremely diverse sets of practices that congregate under the banner of participation. The handbook discusses various arguments and schools of thought about employee participation, analyzes the range of forms that participation can take in practice, and examines the way in which it meets objectives that are set for it, either by employers, trade unions, individual workers, or, indeed, the state. In doing so, the Handbook brings together leading scholars from around the world who present and discuss fundamental theories and approaches to participation in organization as well as their connection to broader political forces. These selections address the changing contexts of employee participation, different cultural/ institutional models, old/'new' economy models, shifting social and political patterns, and the correspondence between industrial and political democracy and participation.

Providing everything a practitioner needs to co-ordinate a successful cross-border merger, the book analyses the EU Directives and how they have been applied in each of the main EU/EEA member states. The diverging rules for each jurisdiction are highlighted and explained enabling quick comparisons to be made between countries for assessing feasibility of the chosen technique. As well as the requirements, formalities and potential pitfalls of cross-border mergers, each country analysis addresses the relevant aspects of corporate, employment and tax law such as informing shareholders and employees, verification of the legality of the merger, and language requirements. The book also considers other cross-border reorganisation techniques, such as demergers, partial demergers, the transfer of branches of activity, the creation of a Societas Europaea, or a Societas Cooperativa Europea, and the cross-boarder transfer of a company's head office or registered office, providing a practical guide to the best possible solution for a practitioner's client. European Cross-Border Reorganisations: Law and Practice is an easy-to-use reference work for legal, tax and audit professionals involved in mergers.
