Book excerpt: Excerpt from Bulletin of the American Geographical and Statistical Society, 1852, Vol. 1 Mr. Henry Grinnell declined the office of President, for personal reasons; and, it being desirable to effect some other changes, a new election of officers was held on the 21st of February, 1852, when the present Board was chosen. At a full meeting of the Board, held shortly afterwards, the organization was completed by the appointment of several standing committees. It soon became apparent that a Charter of Incorporation would be very essential to the success of the Society and the security of its members. Several weighty considerations rendered it desirable that the charter should be enacted by the Legislature, and the proper steps were taken to obtain such a charter. The reasons urged were satisfactory to both Houses of the Legislature, to whose judgment the constitution referred the matter; and the bill for a charter passed both Houses without objection; but, unfortunately for us, it was vetoed by the Governor, at too late a period in the session to renew the application. It was therefore deemed advisable to obtain a charter of incorporation by certificate, under the general law for the incorporation of scientific and benevolent societies. The necessary steps were completed on the 22d of May, 1852, which constitutes the date of the Society's birth as an Incorporated Institution under the laws of the State of New York. The By Laws previously adopted were remodeled, to conform to the present charter, and the officers and trustees were reelected; and thus the work of organization was completed.
